赤峯黃金(06693.HK)：收到行政監管措施決定書
格隆匯3月24日丨赤峯黃金(06693.HK)公佈，公司於2025年3月24日收到中國證監會內蒙古監管局向公司、公司董事王建華及楊宜方(同為公司行政總裁)，以及董事會祕書董淑寶出具的《關於對赤峯吉隆黃金礦業股份有限公司及相關責任人員採取出具警示函措施的決定》([2025]10號行政監管措施決定書)。
根據該決定書，公司的全資子公司吉林瀚豐礦業科技有限公司2023年一季度因生產設施改造停產兩個月，公司未及時進行信息披露，遲至2023年4月30日在公司的2023年第一季度報吿中披露。
上述行為違反了《上市公司信息披露管理辦法》(證監會令第182號)第三條第一款，第二十二條第一款、第二款第十一項，第二十六條第一款的規定。董事長王建華、總經理楊宜方及董事會祕書董淑寶未按照《上市公司信息披露管理辦法》第四條、第五十一條第二款規定履行勤勉盡責義務，對上述行為負有主要責任。
根據《上市公司信息披露管理辦法》第五十二條規定，內蒙古證監局決定對公司及上述人士採取出具警示函的行政監管措施，並記入證券期貨市場誠信檔案。公司及上述人士應加強法律法規學習，提高公司規範運作水平，杜絕此類違規行為再次發生，並於其收到該決定書30日內向內蒙古證監局提交書面報吿。
如對以上的監督管理措施不服，公司及上述人士可在收到該決定書之日起60日內向中國證監會提出行政覆議申請，也可在收到該決定書之日起6個月內向有管轄權的人民法院提起訴訟。覆議與訴訟期間，上述監督管理措施不停止執行。
根據公司掌握的信息，上述事項對集團之業務營運及財務狀況並無重大不利影響。公司將按照該決定書的要求，組織和督促相關人員認真學習相關法律法規和規範性文件，履行勤勉盡責義務，不斷提高規範運作水平和信息披露質量，並按時向內蒙古證監局提交書面整改報吿。王建華、楊宜方及董淑寶已分別向公司確認，除公吿所披露者外，概無有關其各自的資料須根據上市規則第13.51(2)(h)至(v)條的規定予以披露，並無任何其他有關其各自的事宜須提呈公司股東垂注。
