融創中國(01918.HK)：北京融創壹號院項目債務重組完成
格隆匯1月27日丨融創中國(01918.HK)發佈公吿，北京泛海東風置業有限公司(“北京泛海”)作為債務人之一，應付中誠信託有限責任公司(“中誠信託”)作為債權人的一筆本金額為人民幣68.322億元的債務已於2023年9月到期(“中誠信託債務”)。近日，集團與中誠信託簽署了債務重組協議(“債務重組協議”)，及中誠信託與中國中信金融資產管理股份有限公司(“中信金融資產”)就中誠信託債務達成了債權轉讓相關交易安排。
根據債務重組協議，中誠信託確認集團之前已支付的人民幣16.35億元用於清償本金，即中誠信託債務本金額自人民幣68.322億元降低至人民幣51.972億元。此外，集團獲得違約金的全部減免，歷史欠息降至人民幣6.5億元且重組後的融資成本自9.6%/年降低至6.5%/年，綜合導致該筆債務自借款日起全週期融資成本降低至約4.12%/年。重組後的債務還款期限為4年，即最終還款期至2029年1月。
北京泛海為融創壹號院項目的開發主體，集團通過持有北京泛海100%股權擁有融創壹號院項目全部權益。融創壹號院項目位於北京市朝陽區核心位置，在東四環東側，緊鄰朝陽公園，擁有優質的景觀資源；周邊環繞CBD、燕莎、麗都、朝青四大商圈，區位條件十分優越；教育、醫療等配套非常成熟。融創壹號院項目總佔地面積約為7.52萬平方米，總建築面積約為66萬平方米，主要用作住宅及商業等開發，項目少部分已完成銷售，剩餘地塊正在開發建設中。
上述債務重組的完成為信託投資人提供了完整退出方案，解除了北京泛海的債務違約問題且有效減輕了項目債務壓力，項目擁有了更加穩固的財務界面支持。同時，集團會與中信金融資產一起合作推進項目的開發建設，共同打造成為集團壹號院產品系列的標杆項目。
