恆大(03333.HK)擬售4個項目權益予光大信託及五礦信託 可收回部分前期投資款約19.5億人幣 化解項目涉及債務約70.1億人幣
中國恆大(03333.HK)公佈,爲保障各持份者合法權益,集團與光大信託和五礦信託簽訂合作協議,內容關於出售集團於4個項目的相關股權予它們,信託機構將接管項目公司的運營管理,向項目公司投入資金以保障項目後續開發建設及保交樓,且集團有行使回購股權的權利。
通過此次與信託機構的合作,集團指,可收回在項目的部分前期投資款約19.5億元人民幣(下同),可化解項目涉及的債務約70.1億元,收回的投資款對於集團其他項目的保交樓及債務化解工作都具有積極影響。集團計劃將出售事項所得款項主要用作保障集團其他境內項目建設及交樓並作爲一般營運資金。
集團指,將保留在項目的財務監督權及銷售共同定價權。償還信託機構的投入後,集團可行使權利要求信託機構以零對價轉讓相關項目的100%權益予集團。若集團選擇不行使該回購權,相關項目公司則繼續由信託機構管理,而相關項目公司每年可分配利潤的5%將分配予信託機構,餘額則分配予集團。
恆大與光大信託簽訂協議,出售若幹項目公司股權及債權,包括重慶黛宸房地產開發有限公司(恆大黛山華庭項目)10%股權及2.79億元債權、東莞市鴻釧房地產開發有限公司(東莞恆大悅龍臺項目)9.87%股權及5億元債權。光大信託的出售事項下將予出售股權及債權的總對價爲10.3億元。
恆大出售予五礦信託的資產包括佛山市順德區盈沁房地產開發有限公司(佛山鉑睿府項目)9.23%股權及2.4億元債權、南沙恆睿及南沙恆昌(廣深國際文旅城項目)各自10.97%股權及6.4億元債權。五礦信託的出售事項下將予出售股權及債權的總對價爲11億元。
