正通汽車(01728.HK)：上海金融法院已裁定強制拍賣公司所持東正金融股權 明日復牌
格隆匯2月8日丨正通汽車(01728.HK)公佈，公司於2022年1月29日收到上海金融法院頒佈的(2022)滬74行審1號《行政裁定書》、(2022)滬74財保1號《行政裁定書》及(2022)滬74財保1號《中華人民共和國上海金融法院財產保全吿知書》(統稱"裁定書")。根據申請執行人上海銀保監局向上海金融法院申請以股權拍賣方式執行《行政決定書》中責令清退公司持有的在中國證券登記結算有限公司託管的東正汽車金融股份有限公司("東正金融")股權15.2億股(證券簡稱：東正金融；股份代碼：HK2718)，上海金融法院經審查，裁定凍結公司所持東正金融股權15.2億股份及孳息，保全期限為2022年1月26日至2025年1月25日("凍結裁定")，如不服凍結裁定，可自收到裁定書之日起五日內向上海金融法院申請複議一次，複議期間不停止裁定的執行。上海金融法院還依法組成合議庭對申請執行人申請准予強制執行《行政決定書》的事項進行審查，裁定：申請執行人上海銀保監局上述《行政決定書》，准予強制執行，以股權拍賣方式清退本公司持有的東正金融股權("清退裁定")。
監於上海金融法院已裁定強制拍賣公司所持東正金融股權，公司目前無法確定有關處置的時間及價格，因此亦無法於目前釐定有關處置對公司的整體財務影響。
根據公司中國法律顧問的意見：
i.(2022)滬74行審1號《行政裁定書》項下的清退裁定一經送達後即發生法律效力，未有提出複議的司法途徑。而針對(2022)滬74財保1號《行政裁定書》項下的凍結裁定，公司可在收到裁定書之日起五日內向上海金融法院申請複議一次，但複議期間不停止凍結裁定的執行。
ii.由於該財產保全只是程序性問題，並未對公司的實體權利作出處分。
iii.鑑於(2022)滬74行審1號《行政裁定書》裁定準予強制執行上海銀保監局的《行政決定書》，結合本案實際情況，申請撤銷凍結裁定不予保全的目的難以達成。
因此，公司決定不就凍結裁定申請複議。
監於上海金融法院已裁定強制拍賣東正汽車金融股權，公司就潛在出售事項與獨立第三方進行的討論亦已終止。於公吿日期，公司並無就潛在出售事項與有關獨立第三方訂立正式或具法律約束力的協議。
監於公司必須按法院裁定拍賣出售東正股權，且並無其他酌情權，故有關處置將不構成上市規則第14章項下之交易，因此須予公佈交易的規定，包括股東的批准及向股東寄發通函，將不適用於有關處置。
此外，公司已向聯交所申請自2022年2月9日上午9時正起恢復公司股份的買賣。
