首控集團(01269.HK)與Champion Sense及Principal Global訂立框架協議
格隆匯1月13日丨首控集團(01269.HK)公佈，於2022年1月13日，公司、Champion Sense及Principal Global訂立框架協議，以載列有關重組原可換股債券的條款及條件。作爲原可換股債券重組安排的一部分，已於2021年12月1日訂立額外抵押文件，並已於2022年1月13日訂立可換股債券購買協議以及修訂及重列協議。
框架協議訂約方已同意透過以下安排重組原可換股債券：1.公司及若幹集團公司訂立額外抵押文件，以就原可換股債券提供額外抵押文件。
2.Champion Sense（作爲賣方）與Principal Global（作爲買方）須訂立可換股債券購買協議。
3.(a)公司（作爲發行人）；(b)Champion Sense（作爲初始債券持有人及多數債券持有人）；及(c)創越、首控基金、Rosser Investments及首控金控（作爲現有第三方抵押提供人及契諾承諾人）須訂立修訂及重列協議。
4.於修訂及重列協議日期後滿一個月當日前，公司及Principal Global須通過以下方式促使Champion Sense持有的原可換股債券本金額減少1.175億港元至6.525億港元：(i)公司贖回部分原可換股債券；及╱或(ii)Principal Global根據可換股債券購買協議支付購買代價。
5.修訂須待上文第4段及修訂及重列協議的其他先決條件獲達成後，方可生效。儘管修訂因修訂及重列協議的任何先決條件未獲達成而尚未生效，額外抵押文件、可換股債券購買協議及其項下擬進行交易不應受到影響。
6.於Champion Sense收取總額爲1.175億港元的款項（包括本金還款及╱或上文第4段所載購買代價付款）之日起十個營業日內，Champion Sense須申請撤回清盤呈請。
