新濠(00200.HK)與雅居樂(03383.HK)組合營競得中山土地 將建主題樂園及商住物業
新濠(00200.HK)公佈,間接全資附屬新濠中山及雅居樂集團(03383.HK)旗下中山雅辰組合營,競得中山市南朗鎮(翠亨新區起步區)西四圍之土地使用權。項目土地使用權之收購價爲40億元人民幣(下同)。該合營由新濠中山及中山雅辰分別持有51%及49%。

發展項目涉及於項目土地上發展混合用途物業,預計將包括住宅、商業、休閒及娛樂元素,並設有酒店、公園及綠化區等配套設施。項目用地涵蓋土地面積達約50.4萬平方米,由不同之地塊組成,視乎土地用途,相關土地之出讓年期爲40年至70年不等。

據協議,新濠合營方應負責發展將於項目土地上建造之主題公園,主題公園建成後,新濠合營方應通過項目公司獨立管理及經營主題公園,並負責主題公園所需之營運資金。新濠合營方應出資1.5億元以支付收購價;向項目公司出資2.5億以發展項目用地;爲超過14.5億元之主題公園建築成本及開業前開支提供現金出資,及撥付主題公園之持續經營成本。

雅居樂合營方應負責發展項目土地之其餘非主題公園部分,通過項目公司獨立從事其餘部分之投資、發展、經營及管理。雅居樂合營方應撥付收購價餘款約38.5億元,協助項目公司籌集資金,否則將以股東貸款之方式向項目公司提供最多14.5億元資金,以支付主題公園之建築成本及前期費用;負責提供發展其餘部分所需之所有資金。
