長和(00001.HK)擬出售HPHS及HPGHL全部股份
格隆匯3月4日丨長和(00001.HK)公吿，於2025年3月4日，公司與BlackRock,Inc.、Global Infrastructure Partners及Terminal Investment Limited(統稱"Black Rock-TiL財團")就交易初步基本條款達成原則性協議。交易將涉及集團出售其Hutchison Port Holdings S.ar.l.("HPHS")全部股份及Hutchison Port Group Holdings Limited("HPGHL")全部股份。
HPHS及HPGHL合共持有集團於和記港口集團全部80%實際權益，和記港口集團則持有在23個國家43個港口擁有、營運及發展共199個泊位附屬公司及聯營公司權益，連同所有和記港口管理資源、營運業務、貨櫃碼頭系統、資訊科技及其他系統，以及其他涉及用於控制和營運有關港口資產。出售資產不包括任何和記港口信託股權，即該信託在香港、深圳和南中國營運港口，或任何在中國內地港口。
公司與Black Rock TiL財團同意按基本條款為基準，以合理誠信方式磋商並落實最終文件，而公司同意與Black Rock-TiL財團獨家磋商為期145日。
另就Black Rock-TiL財團收購和記港口在Panama Ports Company,S.A.("PPC")90%權益達成原則性協議，PPC擁有並經營位於巴拿馬巴爾博亞及克里斯托瓦爾港口。
根據初步基本條款，按照出售資產100%企業價值227億6,500萬美元及假設淨債務50億美元計算，出售資產權益價值將為177億6,500萬美元(以100%計算)及銷售股份權益價值(相當於其80%)將為142億1,200萬美元。購買價將參考於完成時實際淨債務進行調整，並將扣除PPC交易代價80%。經調整少數股東權益及和記港口集團欠予公司若干股東貸款還款後，預期交易將為集團帶來超過190億美元現金所得款項。
