CHEVALIERINT'L(00025.HK)與SE Stark以總代價3500萬美元達成資產出售協議，涉及不動產及多項設施
格隆匯12月11日丨CHEVALIERINT'L(00025.HK)發佈公吿，2024年12月10日，OR4 Laurelhurst(公司的間接擁有的全資附屬公司)與SE Stark訂立資產購買協議，據此，OR4 Laurelhurst已同意出售及SE Stark已同意購買已轉讓資產，總代價為3500萬美元(相當於約港幣2.73億元)。
已轉讓資產包括(其中包括)(a)Laurelhurst Village, 3060 SE Stark St., Portland, OR 97214, U.S. (“該設施”)所在的不動產及鄰近不動產(統稱“該不動產”)的永久產權；(b)該不動產所包括的所有建築物、結構物、固定裝置、建築系統及設備，以及其所有組件，包括(其中包括)OR4 Laurelhurst所擁有並安裝於該不動產的保安及監控系統，以及OR4 Laurelhurst所擁有並安裝於該不動產的電訊、電腦、電線及電纜裝置(統稱“改良設施”)；(c)OR4 Laurelhurst對於與該不動產相鄰的巷道、細長地帶或三角形地帶的所有權利、業權及權益，以及OR4 Laurelhurst對於該不動產及改良設施的所有其他附屬物、附屬權利及特權(統稱“附屬物”)；(d)OR4 Laurelhurst所擁有並位於該設施內的所有傢俱、固定裝置、陳設和設備，以及OR4 Laurelhurst所擁有並用於擁有權、租賃及保養該不動產及該設施的所有其他有形個人財產項目(統稱“有形個人財產”)；(e)在OR4 Laurelhurst的權益可根據適用法律轉讓的情況下，OR4 Laurelhurst所擁有或持有且就作為業主擁有及租賃該設施而言屬必需的所有執照、許可證、批文及需求證書(或同等證書)；(f)OR4 Laurelhurst對於與該設施相關的任何建築師及工程師計劃及規格的所有權利、業權及權益；(g)資產購買協議中特別指明的車輛；(h)OR4 Laurelhurst對於與該設施營運有關的任何商標名稱(包括但不限於“Laurelhurst Village”及“Laurelhurst Terrace”)的所有權利、業權及權益；及(i)OR4 Laurelhurst所擁有並用於擁有權、租賃及保養該不動產及該設施的任何及所有其他無形個人財產項目((e)至(i)項統稱為“其他”)。
