復星旅遊文化(01992.HK)擬溢價約95.00%私有化 明日復牌
格隆匯12月10日丨復星旅遊文化(01992.HK)公吿，於2024年12月9日，董事會決議就建議根據公司法第86條以協議安排方式回購公司股份，向計劃股東提呈該建議。以該計劃生效為前提，全部計劃股份（受託人未獲分配的計劃股份除外）將予以註銷，以就每股計劃股份換取現金7.80港元。受託人未獲分配的計劃股份將無償予以註銷。
7.80港元的註銷價，較於2024年11月26日（即最後交易日期）於聯交所所報收市價每股股份4.00港元溢價約95.00%。
於該計劃生效後，所有計劃股份將被註銷，計劃股份的股票其後將不再具有所有權文件或憑證的效力。公司將根據上市規則第6.15條向聯交所申請撤銷股份於聯交所的上市地位，於生效日期後立即生效。
董事會認為，實施該建議及撤銷司的上市地位乃符合公司及股東的整體利益，理由如下：(a)對計劃股東而言具有顯著溢價的確定近期價值；(b)為股東提供將流動性有限的投資完全變現的獨有機會；(c)釋放股東價值及在當前不確定市況下實現收益；(d)公司可作為私人公司靈活作出長期戰略決策。
於本公吿日期，公司的意向是讓集團繼續經營其現有業務，而公司亦並無任何計劃對下述各方面作出任何重大變動：(a)集團的業務（包括重新調配集團的任何固定資產）；或(b)繼續聘用集團的僱員。
此外，公司已向聯交所申請股份自2024年12月11日上午九時正起恢復於聯交所買賣。
