OSL集團(00863.HK)宣佈歐洲及意大利收購事項 擴展全球數字資產業務
格隆匯12月10日丨OSL集團(00863.HK)發佈公吿，2024年12月9日，買方(OSL Midas Pay Limited，為公司直接全資附屬公司)與賣方(Teo Jing Wei)訂立歐洲購股協議，據此，賣方有條件同意向買方出售，而買方有條件同意自賣方購買出售股份，歐洲收購事項代價合共為699.9萬美元(相當於約5450萬港元)，其中489.9萬美元以現金(相當於約3820萬港元)支付，另210萬美元(相當於約1630萬港元)透過配發併發行代價股份支付。同日，買方(即OSL Midas Pay Limited)與賣方(即Teo Jing Wei)訂立意大利購股協議，據此，賣方有條件同意向買方出售，而買方有條件同意自賣方購買配額，意大利收購事項代價為1000美元(相當於約7780港元)。歐洲購股協議及意大利購股協議並非互為條件。
新目標公司將在完成前重組後成為OSL集團的間接全資子公司，其財務業績將併入OSL集團的財務報表。意大利目標公司將成為OSL集團的間接全資子公司，其財務業績也將併入OSL集團的財務報表。收購完成後，賣方(Teo Jing Wei)將持有OSL集團約0.319%的股份。
公吿表示，集團在受監管的數字資產市場中一直是市場的領導者，為亞太地區的投資者提供服務。作為集團擴展策略的一部分，收購事項作為集團關鍵戰略投資，目的不僅是在亞太地區提升市場地位，亦為進入歐洲市場，在集團全球化路線圖中刻下里程碑，同時保持高合規標準。收購事項完成後，集團預期透過擴展全球業務版圖、更廣泛的產品及服務組合、共享營運及技術資源、應用行業最佳常規以及改善全球交易流動性及效率，抓緊潛在商機並實現業務協同效應。集團相信，收購事項將進一步鞏固其作為數字資產交易全球領導者的地位，並提升其品牌影響力。
