綠城服務(02869.HK)擬1620萬澳元出售MAG11.64%股本
格隆匯11月8日丨綠城服務(02869.HK)公吿，於2024年11月8日，賣方Greentown Education Investment Co. Ltd(公司間接全資附屬公司)與買方Montessori Academy Pty Ltd(作為Montessori Academy信託的受託人)訂立股份銷售契據，據此，賣方同意出售而買方同意收購銷售股份，相當於MAG已發行股本約11.64%，代價為1620萬澳元。於同日，根據股份銷售契據，作為出售事項的一部分，賣方及MAG訂立回購協議，據此，賣方同意出售而MAG同意收購回購股份，相當於MAG已發行股本約10.78%，回購價為1500萬澳元。出售事項及回購事項彼此互為條件。
出售事項及回購事項完成後，賣方將持有MAG當時已發行股本約35%，而MAG將不再為公司的附屬公司，MAG的財務業績將不再綜合計入集團財務報表。
MAG為澳洲註冊成立的有限公司，於本公吿日期，由賣方、管理層股東、買方及CCA Investment Group Pty.Limited分別持有約53.90%、約3.75%、約21.92%及約20.43%權益。其主要從事按照蒙特梭利課程及體系進行向嬰兒(0–2歲)、幼兒(2–3歲)及學齡前兒童(3–6歲)提供教育及托兒服務並提供日常教學，現時在澳洲經營超過55間托幼中心。
考慮到中國幼兒教育的政策及市場環境，集團原本透過MAG的澳洲教育系統及商業模式支持中國幼兒教育相關業務大規模發展的目標可能無法於短期內實現。因此，基於集團業務發展的整體佈局，該等交易將更符合公司股東的整體利益。此外，於該等交易後，集團及MAG將繼續探索更符合雙方各自利益的新合作方式。
