遠洋集團(03377.HK)擬進行重組相關交易，包括新債務發行和可轉換債券
格隆匯10月29日丨遠洋集團(03377.HK)公佈，根據此前公吿，內容有關重組。誠如該等公吿所截，重組的範圍涵蓋現有債務工具，包括現有銀團貸款、現有雙邊貸款及現有票據，未償還本金總額約為56.36億美元。重組涉及向範圍內債權人分發重組對價，以(除其他事項外)換取解除及免除現有債務工具項下範圍內債權人的所有債權，重組對價包括：(a)本金總額為22億美元的新債務(包括新貸款及新票據)；及(b)強制可轉換債券及╱或新永續證券，本金總額合計相當於所有範圍內債權人的重組程序債權總額減新債務本金總額的結果(即強制可轉換債券及永續權益總額)。
待重組生效日期落實後，公司將發行初始發行金額最高達強制可轉換債券及永續權益總額的強制可轉換債券，根據組別分配比率及各組別債權人的個別選擇於不同組別範圍內債權人內分配。公司將於股東特別大會上就配發及發行強制可轉換債券轉換股份尋求股東特別授權。強制可轉換債券發行及其項下擬進行的交易須待股東於股東特別大會上通過普通決議案後，方可作實。公司將向聯交所上市委員會申請批准強制可轉換債券轉換股份上市及買賣。公司將申請強制可轉換債券在新交所上市及掛牌。
於本公吿日期，中國人壽實體為若干現有票據持有人，因此，與現有票據的其他持有人相同，受限於選擇及分配機制，由中國人壽實體持有的相關現有票據將轉換為新票據，且受限於中國人壽實體選擇接收強制可轉換債券並遵守選擇及分配機制，中國人壽實體或會於重組中獲發行若干強制可轉換債券。於本公吿日期，中國人壽保險為公司主要股東，持有公司已發行股本總額的約29.59%。
