華潤電力(00836.HK)通過配售及認購擴大股本基礎，展現未來發展信心
格隆匯10月23日丨華潤電力(00836.HK)發佈公吿，2024年10月23日，公司及配售代理(即Merrill Lynch (Asia Pacific) Limited)訂立配售協議，據此，公司同意委任配售代理，而配售代理同意擔任公司的代理，根據配售協議所載條款及受限於配售協議所載條件，認購或促使買方認購配售股份。
配售股份約佔公司截至本公吿日期現有已發行股本的4.13%。配售價為每股股份19.70港元，較於最後交易日在聯交所所報的收市價每股股份20.75港元折讓約5.06%。發行配售股份的預計募集資金淨額約為38.866億港元。
2024年10月23日，公司及認購方(即合貿有限公司，為華潤集團公司的全資附屬公司)訂立認購協議，據此，認購方有條件同意認購，而公司有條件同意按每股認購股份19.70港元的認購價配發及發行約1.68億股認購股份。認購股份約佔公司截至本公吿日期現有已發行股本的3.49%。
認購價為每股股份19.70港元，較於最後交易日在聯交所所報的收市價每股股份20.75港元折讓約5.06%。認購事項的預計募集資金淨額將約為33.102億港元。
公司擬利用通過配售事項和認購事項獲得的預計募集資金淨額於增加現金儲備，以供營運及一般企業用途，以及償還財務負債(包括商業借款及其他應付款項)。進行配售事項旨在進一步擴大公司股東的股本基礎、優化公司的資本架構及支持公司的健康及持續發展。進行認購事項旨在進一步擴大公司的股東股本基礎。本次認購事項亦屬於認購方認為合適的進一步認購股份的窗口期間，以反映認購方對公司的長遠業務發展及前景充滿信心。
