中國寶力科技(00164.HK)擬配發975.61萬股認購股份 總籌400萬港元
格隆匯10月7日丨中國寶力科技(00164.HK)發佈公吿，2024年10月4日，公司與第一認購人(即陳桂洪先生)訂立第一認購協議，據此，公司有條件同意配發及發行而第一認購人有條件同意按每股認購股份0.41港元的價格認購合共439.02萬股認購股份。同日，公司與第二認購人(即周弦弦女士)訂立第二認購協議，據此，公司有條件同意配發及發行而第二認購人有條件同意按每股認購股份0.41港元的價格認購合共48.78萬股認購股份。
2024年10月4日，公司與第三認購人(即兆峯國際有限公司)訂立第三認購協議，據此，公司有條件同意配發及發行而第三認購人有條件同意按每股認購股份0.41港元的價格認購合共243.90萬股認購股份。同日，公司與第四認購人(即Silver Moon Consultancy Corporation)訂立第四認購協議，據此，公司有條件同意配發及發行而第四認購人有條件同意按每股認購股份0.41港元的價格認購合共243.90萬股認購股份。第一認購協議、第二認購協議、第三認購協議及第四認購協議並非互為條件。認購事項的認購價為每股認購股份0.41港元，較股份於認購協議日期在聯交所所報的收市價每股0.475港元折讓約13.6842%。
將配發及發行予認購人的975.61萬股認購股份(包括將分別配發及發行予第一認購人、第二認購人、第三認購人及第四認購人的第一認購股份、第二認購股份、第三認購股份及第四認購股份)相當於本公吿日期現有已發行股份總數的10.0130%；及經配發及發行認購股份擴大的已發行股份總數約9.1016%。認購事項的總代價將為約400萬港元，而認購事項的代價淨額估計約為390萬港元。認購事項的代價淨額當中，金額200萬港元將全數按等額基準抵銷公司結欠第三認購人及第四認購人的部份貸款。集團擬將認購事項的剩餘款項約190萬港元用作集團的一般營運資金。
