榮利營造(09639.HK)擬發售2.5億股股份 引入三一香港等基石
格隆匯9月27日丨榮利營造(09639.HK)發佈公吿，公司擬發售2.5億股股份，公開發售股份2500萬股，配售股份2.25億股，另有15%超額配股權；2024年9月27日至10月4日招股，預期定價日為10月7日；發售價將為每股0.57-0.73港元，每手買賣單位為5000股；同人融資有限公司為獨家保薦人；預期股份將於2024年10月9日開始在聯交所買賣。
公司為從事土木及電纜工程以及太陽能光伏系統工程的具規模香港承建商。公司的土木工程專注於地盤平整工程以及道路及渠務工程，而公司的電纜工程則專注於電纜挖溝、鋪設及接駁工程。就太陽能光伏系統工程而言，公司專注於太陽能光伏系統的設計、安裝及維護工程。其次，於往績記錄期間，在公司參與的少數項目(主要是#01號項目)中，公司會臨時向承建商及分包商租賃機械及買賣建築材料。
公司的地盤平整工程通常包括土方工程、挖掘工程及鋼結構安裝。公司的道路及渠務工程主要包括建造及整改道路、行車道及行人道、建造有蓋行人通道、翻新隧道及行人天橋、為行人天橋、高架行人道及隧道提供暢道通行設施、建造排水系統、沙井、電纜槽以及安裝水喉總管及污水管。公司的電纜工程通常包括電纜挖溝、鋪設及接駁，並涉及挖掘、修復及雜項建築(如混凝土澆築)工程、交通影響評估以及緊急及電纜故障維修。根據行業報吿，集團是2023年香港最大的電纜及民用管道安裝分包商，以公司2023/24財年的收益計，市場份額約為13.6%。公司的董事認識到可再生能源及可持續發展日益重要，是香港未來發展的兩個主要驅動因素。自2019年起及於往績記錄期間，集團亦於太陽能光伏系統業務分部下進行太陽能光伏系統的設計、安裝及維護工程。
公司已與三一香港集團有限公司(“三一香港”)、高升集團控股(01283.HK)及三鋒控股管理有限公司(“三鋒”)訂立基石投資協議，據此，基石投資者已同意按發售價認購總金額3500萬港元可予認購若干數目的發售股份。假設發售價設定為0.65港元(即指示性發售價範圍的中位數)，基石投資者將認購的發售股份總數將為5383.5萬股。據悉，三一香港為三一重裝投資有限公司的全資附屬公司，而三一重裝投資有限公司由梁穩根(三一香港的最終實益擁有人)擁有約56.38%權益。三一香港為三一國際(00631.HK)的控股公司。三鋒控股管理有限公司由曹暉全資擁有，曹暉現為福耀玻璃(03606.HK/600660.SH)的執行董事兼董事會副主席。曹暉為曹德旺之子，曹德旺為福耀玻璃工業集團股份有限公司的主要創辦人之一及董事長。
公司估計股份發售所得款項淨額(假設超額配股權未獲行使)按發售價每股發售股份0.65港元(即指示性發售價範圍每股發售股份0.57港元至0.73港元的中位數)計算，估計約為1.305億港元。估計所得款項淨額約45%將用於收購更多電力機械及設備，包括公司的項目(尤其是地盤平整工程及電纜工程)所需的(其中包括)電動挖機、可移動式充換電站、重載自卸車、電動攪拌車及電動履帶吊；所得款項淨額約35%將用於支付新項目的前期成本；所得款項淨額約5%將用於新員工招聘；所得款項淨額約5%將用於採購4S及企業資源規劃系統；及估計所得款項淨額約10%將保留為一般營運資金。
