航母級券商誕生！國泰君安與海通官宣合併，明起停牌！
9月5日晚，國泰君安證券、海通證券雙雙發佈停牌公吿，擬籌劃重大資產重組，股票明日起停牌。
國泰君安證券公吿表示，國泰君安證券與海通證券正在籌劃由國泰君安證券通過向海通證券全體A股換股股東發行A股股票、向海通證券全體H股換股股東發行H股股票的方式換股吸收合併海通證券併發行A股股票募集配套資金。
鑑於上述事項存在重大不確定性，為保證公平信息披露，維護投資者利益，避免造成公司股價異常波動，根據上交所相關規定，國泰君安證券A股股票將於9月6日（星期五）開市時起開始停牌，預計停牌時間不超過25個交易日。
同日，海通證券也發佈公吿稱，公司股票將於9月6日（星期五）開市時起開始停牌，預計停牌時間不超過25個交易日。
1.68萬億證券“超級航母”誕生
據悉，本次國泰君安證券、海通證券的合併，是新“國九條”實施以來頭部券商合併重組的首單，也是中國資本市場史上規模最大的A+H雙邊市場吸收合併、上市券商A+H最大的整合案例，涉及多業務牌照與多家境內外上市掛牌子企業，屬於重大無先例的創新事項。
國泰君安和海通證券同屬上海國資。
公開資料顯示，國泰君安證券實際控制人為上海國際集團有限公司，海通證券第一大股東為上海國盛（集團）有限公司。
以2023年年報數據統計，如果國泰君安和海通證券合併，其總資產規模將超過中信證券，位居行業第一。
2023年報數據顯示，國泰君安總資產規模為9254.02億元，海通證券總資產規模為7545.87億元，合併後的總資產規模將高達1.68萬億元，超過中信證券2023年末的1.45萬億元。
多家券商經歷了合併重組
今年以來，在政策紅利推動下，上市券商的重量級併購重組活動明顯提速。
國聯+民生、浙商+國都、西部+國融、平安+方正、太平洋+華創、國信+萬和已陸續進入併購階段，加上本次國泰君安和海通證券，今年券商的併購案已有7起。
在中國證券行業的發展過程中，有多家券商經歷了合併重組，以下是一些重要的合併案例：
中信證券：通過多次併購，如收購萬通證券、金通證券、廣州證券等，擴大了業務範圍和市場影響力。中金公司：收購了中投證券，進一步擴大了其在財富管理領域的業務。光大證券：收購了華泰證券：收購了亞洲證券和聯合證券，擴大了其業務規模。廣發證券：通過收購多家券商，如武漢證券、河北證券等，實現了快速擴張。東方證券：收購了撫順證券公司，並併入浦發銀行的證券業務。浙商證券：收購了國都證券股權。
