微盟集團(02013.HK)：建議發行於2029年到期的9000萬美元有擔保可換股債券
格隆匯8月30日丨微盟集團(02013.HK)發佈公吿，2024年8月29日，債券發行人(即Weimob Investment Limited，公司一間全資附屬公司)、公司及配售代理(即BofA SECURITIES)已訂立配售代理協議，據此，配售代理同意作出所有合理努力促使認購人認購及支付債券發行人將予發行的本金總額為9000萬美元的2024可換股債券，而公司無條件及不可撤回地擔保信託契據及2024可換股債券列明債券發行人應付的所有款項。2024可換股債券的發行價將為2024可換股債券本金總額的97.625%，而每份債券的面值將為20萬美元及超出面值部分為20萬美元的整數倍。
初步換股價每股1.30港元較2024年8月29日(即簽署配售代理協議的交易日)香港聯交所所報最後收市價每股1.22港元溢價約6.6%。按照初步換股價1.30港元及假設按初步換股價悉數兑換2024可換股債券，則2024可換股債券將可兑換為最多約5.42億股新股，佔公司現有已發行股本約17.62%；及經根據2024可換股債券配發及發行新股擴大後已發行股本的約14.98%。2024可換股債券擬將在香港聯交所上市。
債券發行所得款項總額將約為8800萬美元。債券發行估計所得款項淨額(經扣除配售代理佣金及其他估計應付開支)將約為8600萬美元。公司擬將發行2024可換股債券的所得款項淨額用於現有債務再融資。債券發行人及公司同時擬回購SG可換股債券(ISIN：XS2807096545，通用代號：280709654)。
