瀚藍環境(600323.SH)：非公開協議增資事項獲得佛山市國資委批覆
格隆匯8月7日丨瀚藍環境(600323.SH)公佈，公司擬通過間接控股子公司瀚藍(香港)環境投資有限公司(以下簡稱“瀚藍香港”)，以協議安排方式私有化香港聯合交易所有限公司(以下簡稱“香港聯交所”)上市公司粵豐環保電力有限公司(以下簡稱“粵豐環保”或“標的公司”)，從而使粵豐環保成為瀚藍香港控股子公司並從香港聯交所退市(以下簡稱“本次私有化交易”)。本次私有化交易將達到《上市公司重大資產重組管理辦法》規定的重大資產重組標準，構成重大資產重組。
為順利推進本次私有化交易，公司擬通過全資子公司佛山市南海瀚藍固廢處理投資有限公司，與廣東南海上市公司高質量發展股權投資基金合夥企業(有限合夥)以非公開協議增資的方式，共同向公司境內間接子公司瀚藍(佛山)投資有限公司(以下簡稱“瀚藍佛山”)合計增資人民幣40.2億元。
瀚藍佛山增資完成後，瀚藍佛山註冊資本由5.8億元增加至46億元。同時，瀚藍佛山擬向銀行申請不超過人民幣61億元的併購貸款。獲得上述增資款和併購貸款後，瀚藍佛山擬向其境外全資子公司瀚藍香港增資至總股本不超過113億元港幣(或人民幣105億元)用於支付本次私有化交易對價。
本次非公開協議增資事項於2024年8月7日獲得佛山市人民政府國有資產監督管理委員會批覆同意，並經公司2024年第一次臨時股東大會審議通過。
