兗礦能源(01171.HK)籌劃與Highfield Resources Limited戰略合作
格隆匯7月19日丨兗礦能源(01171.HK)公吿，公司與Highfield Resources Limited(一家於澳大利亞證券交易所上市的公司，股份代碼：HFR.ASX，"高地資源")正在籌劃一項戰略合作，公司擬通過資產注入和現金認購方式獲得高地資源新增發股份，成為交易後高地資源的第一大股東並取得控制權。
2024年7月19日，公司與高地資源已就戰略合作簽訂無法律約束力的《合作意向書》。合作意向主要包括：(1)公司擬向高地資源轉讓Yancoal Canada Resources Co.,Ltd.("兗煤加拿大公司")100%股權，高地資源將以新發行的普通股股份作為交易對價；(2)另外，高地資源擬向包括公司在內的若干戰略投資人定向增發高地資源股份，計劃募資2.2億美元，公司有意向出資不超過0.9億美元參與認購，如果其他戰略投資人認購金額超過1.3億美元，公司認購金額可以相應降低；(3)換股交易和現金認股交易完成後，公司將成為高地資源第一大股東，目標是取得高地資源董事會多數席位，並獲得高地資源的控制權，實現合併報表；(4)最晚在擬議交易交割時，高地資源現有存續的可轉債需完成轉股；及(5)換股交易及現金認股交易同時交割，且互為前置條件。
此次簽署的《合作意向書》僅為初步意向，不具法律約束力。在未實施完成交易前，該合作事項不會對本公司生產經營和業績產生重要影響。擬議交易後續如果順利實施完成，將有助於本公司獲取優質鉀礦資源，加快完成資源開發，降低兗煤加拿大公司運營風險，提升本公司競爭力，符合本公司及全體股東的利益，不會損害中小股東權益。本公司將於上述工作完成後，及時分析並披露擬議交易對本公司的影響。
