世紀金花(00162.HK)：榮建控股擬向Acme Gear Global出售公司28.07%股份
格隆匯7月3日丨世紀金花(00162.HK)公佈，公司董事會接獲公司主要股東榮建控股有限公司("賣方")通知，於2024年7月3日，賣方已與Acme Gear Global Limited("買方")訂立買賣協議，據此，賣方有條件同意出售，而買方有條件同意購買合共3.23億股公司股本中每股面值0.10港元的普通股股份，相當於公司已發行股本總額約28.07%。
於公吿日期，賣方由 Hony Capital Fund 2008, L.P.全資擁有，Hony CapitalFund 2008 GP, L.P.為 Hony Capital Fund 2008, L.P.的唯一普通合夥人。HonyCapital Fund 2008 GP Limited 為 Hony Group Management Limited 之 全資附屬公司，且為 Hony Capital Fund 2008 GP, L.P.的唯一普通合夥人。HonyManaging Partners Limited 及南明有限公司分別擁有 80% 及 20% Hony GroupManagement Limited的股本權 益 。 Hony Managing Partners Limited 為Exponential Fortune Group Limited的全資附屬公司。Exponential FortuneGroup Limited為一間由趙令歡先生、曹永剛先生及徐敏生先生分別持有 49%、25.5%及 25.5%已發行股本的公司。南明有限公司為一間由聯想控股股份有限公司全資擁有的公司，聯想控股股份有限公司為一間根據中國法律註冊成立的股份有限公司，其境外上市股份於聯交所主板上市(股份代號：03396)。於公吿日期，賣方實益擁有 3.23億股股份，相當於公司已發行股本總額約28.07%。
