美的置業(03990.HK):擬以實物形式向公司股東分派集團的房地產開發及銷售業務
格隆匯6月23日丨美的置業(03990.HK)宣佈,公司建議向於記錄日期名列公司股東名冊的股東實施建議分派,據此公司擬將房開業務進行內部重組,由私人公司持有該業務,同時組建私人公司集團,接着通過實物分派私人公司股份的方式將私人公司集團從集團剝離。由於實物分派在上市規則14.94(1)條的規定範圍內,根據上市規則第14.94(2)條的規定,公司將向選擇不接受私人公司股份的股東提供現金替代。
根據建議分派,股東可選擇(i)按照其於記錄日期在公司的持股比例收取私人公司股份,或(ii)收取現金替代,若股東(1)選擇不接受及獲取私人公司股份,(2)根據適用的法律和法規不能夠或不被允許持有私人公司股份,及╱或(3)未有迴應選擇、接受及獲取私人公司股份的相關請求。
若建議分派在特別股東大會上經獨立股東批准,如有任何股東不希望參與建議分派,其可以在股份有權參與建議分派的最後一個交易日(預計為2024年9月3日(星期二),具體時間根據載於通函內的最終時間表而定)或之前出售股份。
為促成建議分派,控股股東已承諾(i)根據其截至記錄日期在公司的持股量,選擇、接受並持有實物分派項下全數私人公司股份(即不選擇現金替代);及(ii)就選擇現金的股東(如有)未有接納的私人公司股份而言,在建議分派完成時或前後向公司收購或安排其全資附屬公司收購該等私人公司股份,並向公司支付與其應付或已付給選擇現金的股東的現金替代等值的代價(即可能的交易)。
建議分派完成後,私人公司集團將不再成為本公司的附屬公司,並將由控股股東和選擇實物分派的股東通過持有私人公司股份而持有,公司將繼續經營保留業務,而公司股份將繼續於聯交所上市。
建議分派的目的是使股東能夠變現其在公司的投資,並減少其與公司股份相關的房開業務投資風險,同時使得公司專注於發展保留業務。
需強調的是,建議分派完成後,(i)選擇實物分派的股東將分別按比例維持其各自在保留集團和私人公司集團的權益;(ii)選擇現金替代的股東將按比例維持其各自在保留集團中的權益,並不會對該等權益產生攤薄影響。
