兗礦能源(01171.HK)擬增資15.5億元以收購物泊科技45.00%股權
格隆匯5月31日丨兗礦能源(01171.HK)發佈公吿，2024年5月31日，(i)公司與物泊科技、福建東聚以及東銘實業簽訂增資協議及其附件；及(ii)公司與物泊科技、福建東聚以及委託股東簽訂表決權委託協議。
根據增資協議，公司擬以自有資金現金出資人民幣1,554,545,455元認購物泊科技新增註冊資本人民幣448,768,004元，取得本次交易後物泊科技45.00%的股權。
物泊科技成立於2018年4月，為一家在中國註冊成立的有限責任公司。物泊科技主要從事物聯網技術服務；網路與資訊安全軟體開發；無船承運業務；國際貨物運輸代理；供應鏈管理服務；數據處理和存儲支持服務；道路貨物運輸（網路貨運）；第一類增值電信業務；第二類增值電信業務等。
董事會認為，本次交易的理由及裨益如下：1.加速智慧物流產業發展。社會運力及貨源向優質的網絡貨運平台集中，是大宗商品物流乃至整個貨運物流行業的趨勢。物泊科技擁有豐富的數字化平台迭代開發能力。通過收購物泊科技，公司將獲得成熟的網絡貨運平台業務，延伸公司實體物流+平台發展模式，完善產銷儲配送物流體系，提升公司智慧物流產業競爭實力和發展速度；2.與公司產生較強產業協同。公司擁有大量的大宗商品貨運需求和大宗商品貨主資源，而物泊科技具備成熟的大宗商品物流運輸經驗和優質服務能力。通過本次交易，物泊科技可為公司及其上下游合作夥伴的供應鏈效能帶來整體提升，公司可幫助物泊科技積累優質的大宗商品客户資源，二者可相互賦能，實現協同發展；及3.加速智慧物流產業數字化轉型。物泊科技擁有行業領先的管理團隊，對互聯網、物聯網與物流行業的深度融合有着深入的理解以及豐富的經驗。通過本次交易，公司將融入物泊科技管理、技術和運營團隊，有助於提升公司智慧物流產業的整體數字化水平，加速智慧物流產業的數字化轉型。
