中國海外宏洋集團(00081.HK)：擬超5億元收購兩常州項目公司剩餘49%股權
格隆匯5月28日丨中國海外宏洋集團(00081.HK)宣佈，於2024年5月28日，南寧中海(公司的間接全資附屬公司)、國盈國際(公司的間接全資附屬公司)、中海宏洋(公司的間接全資附屬公司)、安豪投資及常州項目公司一訂立收購協議一，據此(其中包括)，南寧中海同意收購而安豪投資同意出售股權一(即常州項目公司一的49%股權)，總代價人民幣2.59億元。於公吿日期，中海股東及安豪投資分別持有常州項目公司一的51%及49%股權。常州項目公司一主要從事開發位於中國江蘇省常州市的常州項目一。
於2024年5月28日，中海汕頭(公司的間接全資附屬公司)、中海宏洋(公司的間接全資附屬公司)、安豪投資及常州項目公司二訂立收購協議二，據此(其中包括)，中海汕頭同意收購而安豪投資同意出售股權二(即常州項目公司二的49%股權)及股東借款，總代價人民幣2.42億元。於公吿日期，中海汕頭及安豪投資分別持有常州項目公司二的51%及49%股權。常州項目公司二主要從事開發位於中國江蘇省常州市的常州項目二。
於各收購完成後，公司將間接擁有各項目公司全部股權，因此，各項目公司將成為公司的間接全資附屬公司，而各項目公司之財務業績將繼續併入集團的財務報表常州項目公司。
據悉，常州項目一常州項目一是一個名為「桂語花園」的物業發展項目，位於中國江蘇省常州市常州經濟開發區灣城北路以東、規劃道路以北。常州項目一分為住宅及商業用途，總地盤面積約為48,300平方米，總樓面面積約為131,200平方米，住宅出讓年期為70年，及商業出讓年期為40年。常州項目一的物業預售已於2022年4月展開，並已於2024年4月向相關買家交付物業。
常州項目二常州項目二是一個名為「雲麓裏」的物業發展項目，位於中國江蘇省常州市天寧區橫塘河東路以東、長榮路以南。常州項目二分為住宅及商業用途，總地盤面積約為35,000平方米，總樓面面積約為95,700平方米，住宅出讓年期為70年，及商業出讓年期為40年。常州項目二的物業預售已於2023年8月展開，並預期於2024年九月向相關買家交付物業。
公吿稱，項目公司分別主要從事開發常州項目一及常州項目二。根據各合作協議，安豪投資有權在各退出條款項下之事項出現時退出相關合資公司。故此，集團通過收購將履行各合作協議項下的義務，而各收購均經獨立協商，且並非互為條件。此外，經綜合考慮項目的位置及前景，認為收購可使集團全資持有各項目公司，使集團較靈活處置剩餘資產及提升集團整體運營效率，符合集團整體利益。
