漢思能源(00554.HK)擬收購BTHL約54.44%的股份 代價約27.22億港元
格隆匯5月24日丨漢思能源(00554.HK)發佈公吿，2024年5月24日，TWB Holdings(作為第一賣方)及ABL(作為第二賣方)、Glorify(作為買方，為公司的全資附屬公司)與公司訂立收購協議，據此，Glorify有條件同意收購，而TWB Holdings及ABL有條件同意出售銷售股份(佔全部已發行BTHL股份的約54.44%)，代價約為27.22億港元。完成後，Glorify及TWB Holdings將分別持有全部已發行BTHL股份的70%及30%。
公司將向TWB Holdings配發及發行約2.79億股新股份，以結算第一賣方銷售股份代價約2.22億港元，須獲得上市批准。假設已發行股份總數概無其他變動，約2.79億股代價股份(如發行)將相當於公司於本公吿日期已發行股本約7.05%；及經發行代價股份而擴大的已發行股本約6.59%。發行價0.7961港元較2024年5月23日(即緊接收購協議日期前最後一個交易日)所報每股股份收市價0.4港元溢價約99.03%。
根據披露，BTHL(即Bravo Transport Holdings Limited)為一家於2020年在英屬處女羣島註冊成立的有限公司。2020年收購事項完成後，BTHL成為匯達交通集團的控股公司。BTHL的主要附屬公司為城巴(為間接全資附屬公司，為合併專營權及城巴2023年(專營權二)的專營商)，主要於香港從事提供公共巴士及旅遊相關服務。於營業紀錄期，城巴及新巴各自透過(其中包括)根據《公共巴士服務條例》授予的公共巴士專營權在香港經營巴士服務。專營巴士(包括城巴及新巴營運的巴士)在香港公共運交通體系發揮重要角色，於2022年貢獻總乘客人次的約三分之一。於本公吿日期，目標集團擁有由逾1,700輛註冊巴士組成的巴士車隊，經營橫跨港島區、九龍及新界的逾200條專營巴士路線。於2022年7月，城巴推出專為香港特別設計及製造的全港首輛氫燃料電池雙層巴士。結合這一發展，於2023年5月，集團宣佈會參與投資香港西九龍首座加氫站的建設。加氫站目前由城巴營運併為香港首輛城巴旗下的氫能巴士營運提供加氫服務。城巴於2024年2月將第一輛氫能巴士引入其營運車隊。為進一步拓展業務並實現業務多元化，目標集團可能會於該等機會出現時，不時投標海外與交通相關的項目，且於2024年3月，目標集團就政府合約遞交競標書以於新加坡提供一系列公共巴士服務。
匯達傳媒為BTHL的全資附屬公司，於2021年註冊成立，主要從事廣吿業務。匯達傳媒通過公開招標程序獲得巴士車身廣吿合約，擔任城巴巴士車身(外觀)及巴士內部廣吿的獨家廣吿代理商，為期十年至2033年。此外，於2023年7月，匯達傳媒(作為服務提供商)亦通過公開招標程序獲得香港一家鐵路營辦商的合約，就該鐵路營辦商營運的若干鐵路線及巴士的廣吿媒體提供廣吿銷售代理服務，據此，匯達傳媒將負責經營、銷售及營銷該廣吿媒體。
