匯豐控股(00005.HK)：擬5.5億美元出售阿根廷業務予Galicia
格隆匯4月9日丨匯豐控股(00005.HK)公佈，公司的全資擁有附屬公司HSBC Latin America B.V.,已簽訂具有約束力的協議將其阿根廷業務出售予阿根廷最大的私人金融集團Galicia。Galicia將以代價為5.5億美元收購阿根廷匯豐的所有業務,包括銀行、資產管理和保險，以及由阿根廷匯豐發行並由其他匯豐實體持有的1億美元后償債務，該代價將根據2023年12月31日至交割時業務的業績和阿根廷匯豐的證券投資組合的公允價值損益進行調整。匯豐預計將以現金、貸款票據和Galicia的美國存託憑證獲得收購代價，其中美國存託憑證佔收到的代價大約一半，佔Galicia少於10%的經濟利益。
據悉，阿根廷匯豐由超過100家分行組成，由約3,100名員工運營，服務約一百萬名客户。2023年，阿根廷匯豐錄得7.74億美元收入，確認1.07億美元預期信貸損失費用，併產生4.28億美元營業支出，帶來2.39億美元除税前利潤。截至2024年2月29日，阿根廷匯豐的總資產為47億美元，風險加權資產為79億美元3，股本為14億美元。
匯豐集團行政總裁祈耀年表示：「我們很高興同意出售阿根廷匯豐。這項交易是我們執行策略重要的另一步，並使我們能夠將資源集中在國際網路中更高價值的機會上。阿根廷匯豐是一家主要以國內為重點的企業，與我們國際網路的其他部分連接性有限。此外，鑑於其規模，當其業績換算成美元時，也會為集團帶來巨大的收益波動。Galicia更適合投資於其中並將其發展。」
