碧桂園(02007.HK)擬攜手廣東中為及廣州錦思房地產建設及開發白鵝潭國際金融中心
格隆匯3月24日丨碧桂園(02007.HK)公吿,於2024年3月23日,廣州興承思(公司的間接非全資附屬公司)與廣東中為及項目公司廣州錦思房地產開發有限公司訂立合作協議,據此(其中包括),廣州興承思及廣東中為同意透過項目公司於廣州物業上共同建設及開發該樓宇以供出售。"該樓宇"指白鵝潭國際金融中心,將於廣州物業上開發的一幢64層高並設有5層地庫的高層商業樓宇。
於本公吿日期,廣州興承思擁有項目公司的100%股權,而項目公司則擁有廣州物業的土地使用權,期限為截至2057年8月6日止40年(作商業、旅遊及娛樂用途)及截至2067年8月6日止50年(作綜合或其他用途)。根據合作協議,廣州興承思被視為已向項目公司提供資金人民幣31億元,而廣東中為同意就該項目提供進一步資金合共約人民幣28億元,以換取(其中包括):
(1)於合作協議日期起計60天內獲得項目公司的1%股權(即第一次建議出售事項);(2)廣東中為向項目公司提供人民幣10.3808百萬元作為第一項貸款後獲得項目公司的94%股權(即第二次建議出售事項);
(3)按享有權比率計算的享有權(為便於説明,根據廣東中為的估計承諾金額人民幣28億元及廣州興承思的視作承諾金額人民幣31億元,廣東中為及廣州興承思的估計享有權將分別為該樓宇單位及相關銷售所得款項的47.457%及52.543%);
(4)與廣東中為享有權比率成比例的項目公司的投票權(於封頂後、工程竣工後及第三次建議出售事項完成後將分別增至51%、95%及100%);
(5)當廣州興承思的享有權已基本變現時獲得項目公司的100%股權(即第三次建議出售事項)。
此外,廣州興承思與廣東中為於同日亦達成補充協議,就抵押對合作協議履行潛在可能影響進行了補充約定。
