北大資源(00618.HK)：擬配發合共6億股現有股份及2.5億股新股份
格隆匯2月13日丨北大資源(00618.HK)公佈，於2024年2月9日，公司擬向一般授權認購人(包括Sea Ray Investment及Sleek Charm)配發合共6億股每股面值0.10港元的現有股份，一般授權認購價為每股一般授權認購股份0.057港元。一般授權認購股份，即6億股現有股份，佔(i)公司於公吿日期現有已發行股本約5.80%；及(ii)經配發及發行一般授權認購股份擴大後公司已發行股本約5.48%。
於2024年2月9日，公司與Wealth Elite訂立WE認購協議，據此，Wealth Elite有條件同意認購，而公司有條件同意配發及發行合共2.5億股每股面值0.01港元的新股份，WE認購價為每股WE認購股份0.228港元。
股本重組生效後，假設自公吿日期起直至股本重組生效日期(包括該日)不再進一步配發、發行或回購現有股份(因一般授權認購事項而須配發的現有股份除外(已計及))，則緊隨股本重組生效後，2,737,417,279股新股份將為已發行。假設於股本重組生效後，公司共有2,737,417,279股已發行新股份，則WE認購股份，即250,000,000股新股份，將佔(i)股本重組生效後已發行新股份總數約9.13%；及(ii)股本重組生效後經於緊隨WE認購事項完成後配發及發行WE認購股份擴大後已發行新股份總數約8.37%。WE認購事項完成須待(其中包括)獨立股東於股東特別大會上批准及股本重組生效及新股份開始買賣後，方可作實。
