紫金礦業(601899.SH)：與Solaris簽署股份認購協議
格隆匯1月11日丨紫金礦業(601899.SH)公佈，公司新加坡全資子公司金龍公司於北京時間2024年1月11日與在多倫多證券交易所上市的Solaris Resources Inc（簡稱“索拉里斯”，股票代碼：SLS）簽署《股份認購協議》，金龍公司將以4.55加元/股的價格認購索拉里斯定向增發的28,481,289股普通股，合計交易價格為129,589,864.95加元（約合人民幣69,009萬元，以2024年1月11日中國外匯交易中心公佈的人民幣匯率中間價1加元兑換5.3252元人民幣計算），認購完成後，公司將通過金龍公司持有索拉里斯15%的股份，成為其第二大股東，在持股比例不低於5%的情況下，有權提名一位董事，並在索拉里斯發行新股時，享有參與認購權，以維持股權比例。
索拉里斯是一家專注於礦產資源勘探與開發的礦業公司，成立於2018年6月，總部位於加拿大温哥華,在厄瓜多爾、墨西哥、智利等地擁有勘探類資產；其中，索拉里斯持有100%權益的厄瓜多爾Warintza（簡稱“瓦林查”）斑巖銅礦項目系其旗艦資產，依據《股份認購協議》，增發資金將專項用於瓦林查項目的推進和開發工作。
瓦林查項目位於著名的安第斯成礦帶內，由西區、中心區和東區三個礦牀組成，為潛火山-斑巖複合型銅鉬金礦牀，主要礦種為銅礦並伴生金、鉬，瓦林查項目主礦體中心區礦牀未封閉，具有較大找礦潛力，且具備大規模露天開採條件。項目共有9個勘探許可證，勘探許可證全部處於有效期內。根據索拉里斯公開資料顯示，截至2022年4月1日，瓦林查項目估算礦石量約14.66億噸，含銅約618萬噸，含鉬約28萬噸，含金約63噸。另外，根據索拉里斯近日披露的2024年度計劃公吿，鑑於瓦林查項目鑽探二期工程即將結束，索拉里斯計劃在2024年第2季度更新瓦林查項目的資源估算報吿，並預期資源量將會顯著增加。
