北京首都機場股份(00694.HK)：商貿公司、中國免税品及日上免税行就免税業務訂立補充協議
格隆匯12月26日丨北京首都機場股份(00694.HK)宣佈，為促進北京首都機場免税業務長期健康發展，提升機場免税銷售規模，保護機場免税口碑，加速恢復機場免税業務競爭力，經平等友好協商，於2023年12月26日，商貿公司、中國免税品及日上免税行(統稱為"各訂約方")就免税業務訂立補充協議，優化修訂原有合約條款。補充協議的主要條款概述如下：
1.該等協議剩餘合同期限內的免税業務基本模式不變，即公司應收取的免税收入仍按照年保底金額與年實際銷售額提成兩者取高。就釐定該等協議項下的免税收入及記收而言，各航站樓的相關客流量、經營面積均合併計算。
各訂約方同意，年保底金額為人民幣558,284,196元，如年實際客流量不高於960萬人次(北京首都機場國際區年客流量)，則年保底金額按以下方程式計算：
人民幣558,284,196元×(年實際客流量÷960萬人次)×調節係數
在上述公式中，調節係數不高於1，由各訂約方根據實際情況協商。客流量指國際及港澳台地區客流量。
實際銷售額提成為香化、煙、酒、百貨、食品5個品類所對應的品類銷售額提成的總和，各品類銷售額提成比例在18%-36%之間取值。
2.建立激勵機制：根據市場銷售及人均購買力的變化，各訂約方同意，在實現北京首都機場免税收入既定目標後，採取更加靈活的調節機制，以提高北京首都機場商業競爭力。
3.優化免税場地資源：各訂約方將通過優化升級北京首都機場免税場地的方式，打造免税業務集聚區，吸引國際一線、二線以及輕奢品牌的入駐，增加具有競爭力的品牌或單品，實現做強百貨精品、鞏固香化優勢、做大煙酒食品的經營發展目標。
4.積極引入機場免税線上預定業務，提供個性化、定製化的免税購物服務，提高旅客購物的便利性及服務體驗。
5.加強機場免税業務聯動性，努力實現免税品「線下預定、機場提貨」的購物模式，消除機場免税銷售空間上的侷限性，進一步提升銷售規模。
6.豐富銷售形式：各訂約方同意在北京首都機場國際區核心區域、客流密集區域通過開展營銷活動、提供豐富多樣的銷售服務方式引導旅客購買免税品，擴大免税購物人數。
7.加大機場免税業務銷售的宣傳推廣力度：在遍佈於機場各處的電子屏、店舖門口等北京首都機場允許的區域加大宣傳力度，培養旅客對北京首都機場免税「價格優、品類全、服務好」的消費心智，致力打造亞太地區最具競爭力的免税業務市場。
8.積極爭取貨源支持：中國免税品及日上免税行應利用其渠道優勢，積極爭取更多暢銷貨品的支持，更多匯聚核心商品，提升機場免税購物的吸引力。全力恢復北京首都機場免税業務競爭力，做大機場免税銷售規模，實現協作共贏。
9.若中國免税品、日上免税行在北京首都機場免税經營區域內設立市內免税店和╱或在線免税預定提貨點，提貨點提取比例將按照本次補充協議所約定的銷售額提取標準執行。
10.本補充協議自2024年1月1日起生效。
