零跑汽車(09863.HK)擬向Stellantis配發1.94億股H股 將共同成立合營公司
格隆匯10月26日丨零跑汽車(09863.HK)發佈公吿，2023年10月26日，公司與Stellantis訂立認購協議。根據認購協議，公司已有條件同意向Stellantis配發及發行約1.94億股H股，認購價為每股認購股份43.8港元。認購股份將根據一般授權配發及發行。
認購股份相當於截至本公吿日期公司已發行H股總數及經認購事項擴大後經擴大已發行H股分別約21.07%及17.40%；及截至本公吿日期公司已發行股份總數及經認購事項擴大後經擴大已發行股份分別約17.00%及14.53%。
認購事項將為公司籌集認購事項所得款項總額約85.09億港元。其中，所得款項中約40%用於拓展及升級智能電動汽車組合、擴大研發團隊、改進電氣化技術，以及加強自動駕駛及智能座艙系統等先進汽車智能技術的開發；所得款項中約25%用於營銷、擴大銷售及服務網絡、提升品牌知名度及擴展海外市場；所得款項中約15%用於提升生產能力及自動化能力、增強垂直整合及營運效率；及所得款項中約20%用於運營資金及一般公司用途。
認購人Stellantis為一家於荷蘭註冊成立及組織的公眾有限公司，於紐交所、巴黎泛歐交易所受監管市場及米蘭泛歐交易所受監管市場上市。Stellantis為全球領先的汽車製造商及出行服務供應商，旗下各品牌均享負盛名且具標誌性，不但體現創始人的熱誠和遠見，更盡顯當今客户對其創新產品和服務的熱愛。Stellantis旗下品牌汽車各有千秋，引領世界出行方向─不着眼於追求規模，而是矢志成為最卓越的可持續出行科技公司，同時為所有持份者及營運所在社區增添價值。
同日，公司與Stellantis訂立合營公司成立協議，內容有關(其中包括)公司與Stellantis成立合營公司。完成合營公司成立後，合營公司將由公司及Stellantis分別擁有49%及51%權益。合營公司將成為Stellantis的並表附屬公司。
公司建議與合營公司訂立獨家許可協議及貨品銷售框架協議。根據(i)獨家許可協議，公司將授予合營公司知識產權及其他必要權利的獨家許可，使合營公司能夠(a)於有關地域銷售及分銷LPM產品、售後服務零件及本地生產LPM產品，及(b)於有關地域製造及銷售本地生產LPM產品及本地生產售後服務零件，以及製造零部件，及(c)就前述提供服務及配套活動；及(ii)貨品銷售框架協議，公司將不時(a)向合營集團出售LPM產品，以供於有關地域分銷，(b)出售不時所需的零部件，以供製造本地生產LPM產品及(c)出售售後服務不時所需的售後服務零件。
此外，董事會建議委任Grégoire Olivier先生及Douglas Ostermann先生為非執行董事。公司提名及ESG委員會已議決，建議Grégoire Olivier先生及Douglas Ostermann先生出任非執行董事，惟須經股東於第二次臨時股東大會批准後方吿作實。Grégoire Olivier先生及Douglas Ostermann先生的委任將於認購事項完成後生效，直至當前第一屆董事會任期屆滿為止，並可根據公司章程連選連任。
