友寶在線(02429.HK)預計11月3日上市 引入商湯等多家基石
格隆匯10月24日丨友寶在線(02429.HK)發佈公吿，公司擬全球發售2257.65萬股股份，中國香港發售股份225.8萬股，國際發售股份2031.85萬股；2023年10月24日至10月27日招股，預期定價日為10月27日；發售價將為每股發售股份9.40-11.40港元，每手買賣單位500股；中信建投國際及華泰國際為聯席保薦人；預期股份將於2023年11月3日於聯交所主板掛牌上市。
公司是中國大陸自動售貨機經營商，按2022年商品總額計算，佔市場份額7.6%。根據弗若斯特沙利文的資料，以交易商品總額及網絡規模計算，於2019年、2020年、2021年及2022年，公司在中國大陸無人零售行業(主要包括自動售貨機、無人商店及無人貨架)均排名第一。由創立以來十多年來，公司致力深耕中國大陸的無人零售行業(零售業的細分行業)，並建立了數字化及運營能力，涵蓋商品採購、物流及存貨管理。公司利用這些核心能力，已迅速建立起一個覆蓋學校、工廠、辦公場所、公共場所、交通樞紐及餐廳等消費場景的廣泛的銷售點(或“點位”)網絡。通過公司廣泛的點位網絡，公司能夠為無人零售行業價值鏈內的廣大參與者提供服務。截至2023年6月30日，公司的網絡擁有61,888個自動售貨機友寶點位，遍佈中國大陸157個城市及28個省級行政區，其中有87.3%集中於一線、新一線及二線城市。
公司已訂立基石投資協議，據此，基石投資者已同意在若干條件規限下按發售價認購或促使彼等的指定實體(包括合格境內機構投資者)認購若干數目的發售股份。假設發售價為10.40港元(即本招股章程所載指示性發售價範圍的中位數)，基石投資者將認購的發售股份總數為1110.85萬股發售股份。基石投資者包括奈雪的茶(02150.HK)、SensePower Management Limited(SensePower，商湯-W(00020.HK)的間接全資附屬公司)、魏晉兵先生、以及深圳馬六甲網絡科技有限公司。
假設發售價為每股發售股份10.40港元(即發售價範圍的中位數)，公司估計公司將收取全球發售所得款項淨額約1.559億港元。公司擬將全球發售所得款項淨額約80.0%或1.248億港元，用於擴大點位網絡覆蓋面及滲透率；約5.0%或780萬港元，用於進一步發展運營能力以及通過在中國大陸各地建設及升級倉儲及╱或物流系統以增強倉儲存貨管理能力；約7.0%或1080萬港元，用於進一步發展研發能力以及提升運營系統及自動售貨機的技術；以及約8.0%或1250萬港元，用於營運資金和其他一般公司用途。
