馬可數字科技(01942.HK)擬1.17億港元收購Hope Talent 全部股權
格隆匯10月13日丨馬可數字科技(01942.HK)公吿，於2023年2月7日，買方MOG (BVI) Limited(即公司全資附屬公司)與賣方伍斌訂立該協議，據此，賣方已有條件同意向買方出售及轉讓，而買方已有條件同意自賣方收購銷售股份(即目標公司Hope Talent Limited全部股本)，總現金代價為1.17億港元。
目標公司、香港公司及河南雲圖各自為投資控股公司，自注冊成立以來各公司概無開展任何業務。截至該協議日期，除對北京雲圖的投資外，目標公司、香港公司及河南雲圖概無任何重大資產。
集團計劃投資具有充足增長潛力的新業務。董事注意到，將物聯網(IoT)、人工智能(AI)、區塊鏈等技術引入城市管理領域已成全球趨勢，且日益顯著。這個問題的緊迫性於COVID-19疫情期間亦已彰顯，且多個智慧城市組件可成功控制及遏制傳染病的傳播。這些均證明，在當前條件下，城市數字化完全不可避免。
因此，全球智慧城市的數量持續增加，其發展模式在多個創新解決方案的影響下不斷完善。有鑑於此，董事認為數字解決方案市場巨大，潛在前景廣闊。據市場分析，董事亦注意到，中國已成為創新城市計劃的全球領導者，將嵌入式傳感器、儀器儀表、閉路電視及其他監控技術與大數據處理及AI分析相結合，使管理城市及公共空間變得更加容易。國家領導層積極發展智慧城市，啟動該領域的國家戰略，並投入公共資源推動智慧城市發展。中國約有800個進行中或已規劃智慧城市試點項目，佔全球所有智慧城市一半以上。
根據集團管理層的盡職調查結果，北京雲圖為一家主要從事中國政府部門組織的智慧城市軟件應用及硬件採購的公司。換言，北京雲圖以智慧民生、城市管理與服務及數據中心為主要應用場景，結合製造、教育、交通、政企、互聯網等行業的實際業務能力進行佈局，同時具備核心技術優勢及豐富的行業項目經驗。據此，北京雲圖能夠在多個業務場景中複製相關項目能力。
