利寶閣集團(01869.HK)：Kafelaku Coffee Industrial擬購買34.49%的股權 將提強制性有條件現金要約
格隆匯8月10日丨利寶閣集團(01869.HK)發佈公吿，董事會獲該等賣方(暉緯有限公司及陳振杰先生)通知，2023年7月28日，該等賣方(作為賣方)與要約人(Kafelaku Coffee Industrial Limited，作為買方)訂立買賣協議，據此，該等賣方同意出售及要約人同意購買約3.81億股股份，佔該聯合公吿日期公司已發行股本總額約34.49%，總現金代價為4955.1萬港元(即每股待售股份0.13港元)。完成於緊隨於完成日期(即2023年7月28日)簽署買賣協議後落實。
緊接完成前，要約人一致行動集團概無持有、擁有、控制或指示任何股份或公司其他有關證券。緊隨完成後及於該聯合公吿日期，要約人一致行動集團於合共約3.81億股股份(相當於公司已發行股本總額約34.49%)中擁有權益。因此，要約人將須根據收購守則規則26.1就所有已發行股份(不包括要約人一致行動集團已擁有或同意收購的股份)提出強制性有條件現金要約。元庫證券及建泉融資已就要約獲委任為要約人的聯席財務顧問。元庫證券將根據收購守則按每股要約股份現金0.13港元代表要約人作出要約。要約價每股要約股份0.13港元較2023年7月27日(即最後交易日)在聯交所所報收市價每股0.249港元折讓約47.8%。
假設公司已發行股本並無變動及按要約價每股股份0.13港元計算，代價(連同要約的價值)作價約1.44億港元。要約將提呈予要約股東。由於要約人一致行動集團於緊隨完成後於合共約3.81億股股份中擁有權益，要約將涉及約7.24億股股份。按要約價每股股份0.13港元計算，要約的最高代價將為9411.2萬港元。要約人擬於要約截止後維持股份於聯交所的上市地位及將於要約截止後儘快採取適當措施(包括但不限於配售股份)，以確保股份的足夠公眾持股量。公司已向聯交所申請於2023年8月10日起於聯交所恢復股份買賣。
