巨星傳奇(06683.HK)預計6月13日上市 引入Blink Field及網龍作為基石
格隆匯5月31日丨巨星傳奇(06683.HK)發佈公吿，公司擬全球發售1.2664億股股份，其中中國香港發售股份1266.4萬股，國際發售股份約1.14億股，另有15%超額配股權；2023年5月31日至6月5日招股，預期定價日為6月5日；發售價將為每股發售股份5.50-6.30港元，每手買賣單位500股，入場費約3182港元；民銀資本為獨家保薦人；預期股份將於2023年6月13日於聯交所主板掛牌上市。
公司的業務營運包括兩個分部，即新零售分部及IP創造及營運分部。各分部均可成為其自身的收入來源，而公司的IP創造及營運分部亦可產生協同效應，作為公司的營銷工具之一來推廣公司的新零售產品。
就新零售業務而言，公司專注於低碳水化合物健康管理產品以及護膚品的開發及銷售。於往績記錄期間，公司新零售業務的大部分收入來自魔胴咖啡的銷售，其中公司於2019年4月開始在全國範圍內分銷魔胴咖啡。魔胴咖啡屬防彈咖啡，為一種專為低碳水化合物飲食計劃而設計的高脂肪飲料，以滿足該計劃的脂肪╱能量比率。於2021年，公司按總商品交易額計為中國防彈飲料市場最大的公司，市場份額為25.6%。
憑藉魔胴咖啡取得的成功，公司在魔胴子品牌旗下推出多款其他低碳水化合物飲品及食品，進一步體現公司向終端消費者提供具互補性的低碳水化合物健康管理產品組合的策略。於2022年，公司在一個新產品線下推出以健康及無添加劑食品為特點的抹茶粉愛吃鮮摩人。此外，公司於護膚品市場推出多個產品子品牌，包括摩肌博士及茶小姐。摩肌博士子品牌下的產品旨在解決因皮膚老化引起的各種皮膚問題，主要面向成熟年齡人羣，而茶小姐子品牌下的產品則針對年輕一代。公司將繼續不時為公司的新零售業務開發及推出新產品。
公司已訂立基石投資協議，據此，該等基石投資者已同意根據若干條件按發售價認購總額約1800萬美元(約1.4億港元)可購買的若干數目的發售股份。假設發售價為5.90港元(即本招股章程所載指示性發售價範圍的中位數)，該等基石投資者將予認購的發售股份總數為2373.5萬股發售股份。基石投資者包括Blink Field Limited(由張源先生全資擁有)及網龍(00777.HK)。
假設發售價為每股5.90港元(即建議發售價範圍的中位值)，則所得款項淨額將約為3.695億港元。公司擬將自全球發售獲得的有關所得款項淨額約22.2%用於多元化產品組合；約22.3%將用於增加公司在MCN上的品牌知名度並推動產品銷售；約37.3%將用於創作獨有的明星IP及相關IP內容；約8.2%將用於升級公司的IT基礎設施及增加對IT開發的投資；以及約10.0%將用作營運資金。
