中環控股(01735.HK)擬攜手華潤州來深入開展光伏組件供應及光伏電站建設方面合作
格隆匯4月25日丨中環控股(01735.HK)公吿，於2023年4月25日，公司間接全資附屬公司中環中清(安徽)新能源光伏科技有限公司("中環中清")、鳳台縣人民政府及華潤州來(安徽)新能源有限公司("華潤州來")(統稱"訂約各方"，各自為一名"訂約方")已訂立戰略合作協議。
根據該協議，為發揮訂約各方各自的優勢(即鳳台縣人民政府的主導角色以及華潤州來在區域新能源項目開發及營運方面的優勢，以及中環中清在新能源光伏製造方面的優勢)，進一步推動建立長期、有效且穩定的戰略合作及合作平台，以(其中包括)完成中央政府"碳達峯、碳中和"的使命，訂約各方將按照"優勢互補、相互支持、長期合作、共同發展"的原則，在清潔能源產業範疇積極開展廣泛而深入的合作。
該協議將於簽訂該協議後有效5年。合作模式載列如下：(a)各訂約方將優先選擇其他訂約各方作為其於鳳台縣的合作伙伴，共同深入開展光伏組件供應及光伏電站建設方面的合作。
(b)訂約各方同意充分利用自身優勢，全面推進新能源項目的合作、開發、投資及建設，建立穩定、長期的合作模式。中環中清已在鳳台縣投資建設光伏組件及光伏電池製造基地，而鳳台縣人民政府已就有關投資制定相關支持政策。另一方面，根據該等政策的要求，中環中清已同意協助推進華潤州來在鳳台縣獲得的600,000千瓦光伏電站項目的建設。
(c)在符合國家法律、規則及相關管理規定，以及以相同質素及價格達成相同市場條件的前提下，(i)華潤州來將優先採購中環中清生產的光伏組件產品；及(ii)華潤州來將促使在其他光伏電站項目中優先使用中環中清生產的1,200兆瓦光伏組件產品。此外，華潤州來將全力支持並協助中環中清光伏組件進入香港聯合交易所有限公司上市公司華潤電力控股有限公司("華潤電力"，股份代號：836)的組件採購清單。就此而言，中環中清承諾其光伏組件產品將符合華潤州來產品技術標準要求。
(d)訂約各方已同意可於第十四個五年規劃期間聯合開發位於鳳台縣及淮南市其他地區的新能源項目。在符合國家法律、法規及產業政策的前提下，其他開發項目將由華潤州來(以控股投資形式)及中環中清(以參股形式)共同建設。合作模式詳情將由訂約各方進一步書面協定。
(e)倘華潤州來或其任何關聯公司有意而中環中清同意於2023年6月30日前，在同等條件下，華潤州來或其關聯公司將優先於其他第三方投資並共同營運中環中清的鳳台產業項目，惟其股權比率不高於15%。
董事會相信，該協議所擬定及概述戰略合作將讓集團得以利用其於生產新能源光伏產品市場經驗及能力。董事會亦相信，有關戰略合作可擴大集團的業務機會及實現集團的綠色光伏綜合業務、擴闊其收入來源及提升其財務表現。因此，董事會認為，有關戰略合作將有利於集團的未來增長，並將符合公司及其股東的整體利益。
