信用卡(02051.HK)擬將失控子公司首惠集團“出表”！
格隆匯1月9日丨信用卡(02051.HK)公吿稱，由於楊帆於2022年8月3日起，限制首惠開桌及其附屬公司(合稱“首惠集團”)管理層與集團員工接觸，並干擾了首惠集團的業務營運，集團自此無法與首惠集團進行工作溝通，亦不能查閲首惠集團的所有賬簿及記錄。儘管集團自2022年8月3日起不斷着力與楊帆及首惠集團的管理層進行磋商，希望達成友好的解決方案，惟有關努力並無結果。首惠集團的管理層不再向集團進行任何工作彙報，集團無法獲得首惠集團的所有必要賬簿及記錄以確定首惠集團的營運狀況及財務情況。
儘管集團着力在過去數月採取保護措施，如(i)就向集團償還合共約人民幣1.01億元的貸款向首惠時代及雅酷時空採取法律行動；(ii)獲取法院法令凍結首惠時代及雅酷時空的銀行户口；及(iii)向有關個別人士及實體(包括但不限於楊帆)開展法律程序，但董事會認為公司目前已無法掌控首惠集團資產及營運，並未能行使其對首惠集團的決策權。公司已與其核數師討論該事宜。
經考慮有關集團截至2022年12月31日止年度的綜合財務報表的國際財務報吿準則的適用規定後，董事會認為，首惠集團應自集團終止綜合入賬，由楊帆奪取集團對首惠集團辦公室管理權當日(即2022年8月3日)起生效(“終止綜合入賬”)，乃由於自該日起(i)公司無法掌控首惠集團的營運及財務；(ii)公司自2022年8月3日起未能取得首惠集團的賬簿及記錄；(iii)公司未能獲得首惠集團管理層的工作彙報；及(iv)公司無法指引首惠集團的未來發展。
鑑於上述情況，集團將自集團截至2022年12月31日止財政年度的綜合財務報表排除首惠集團於2022年8月3日及其後的財務狀況以及首惠集團自2022年8月3日及其後的業績及現金流。董事會認為，鑑於首惠集團目前的情況，按該基準編制的集團截至2022年12月31日止年度的綜合財務報表將更公平地呈列集團的整體業績及事務狀態。
終止綜合入賬的附屬公司的收益截至2021年12月31日止年度及2022年6月30日止6個月分別佔集團總收益約18%及51%。終止綜合入賬會終止將首惠集團的財務報表的資產、負債及若干儲備綜合入賬，導致集團因終止綜止入賬錄得一次性虧損。
董事會預計終止綜合入賬將對集團截至2022年12月31日止年度的綜合財務報表產生重大影響。於該公吿日期，年度審計正在進行中，公司正量化終止綜合入賬對集團的財務影響。
