寧德時代將入股洛陽鉬業(03993.HK) 成為第二大股東
格隆匯9月30日丨洛陽鉬業(03993.HK)公佈，公司於2022年9月30日收到公司5%以上股東洛陽礦業集團有限公司(以下簡稱"洛陽礦業")的上層控股股東洛陽國宏投資控股集團有限公司(以下簡稱"洛陽國宏")以及投資者寧德時代新能源科技股份有限公司(以下簡稱"寧德時代")、四川時代新能源科技有限公司(以下簡稱"四川時代")分別出具的《吿知函》，洛陽國宏、四川時代與寧德時代於2022年9月30日簽署《投資框架協議》，洛陽國宏以其持有的洛陽礦業100%的股權向四川時代進行增資(以下簡稱"本次交易")；本次交易前，洛陽礦業直接持有公司24.68%的股份，洛陽國宏通過洛陽礦業間接持有公司24.68%的股份，四川時代未持有公司股份；本次交易完成後，洛陽國宏不再直接或通過其控制的主體間接持有公司任何股份，四川時代成為寧德時代控股子公司，四川時代將通過洛陽礦業間接持有公司5,329,780,425股股份，佔公司總股本的24.68%。
本次權益變動屬於公司間接股東洛陽國宏間接轉讓公司股份，同時投資者四川時代通過取得公司直接股東洛陽礦業100%股權的方式間接取得公司24.68%的股份，本次交易不觸及要約收購。
本次交易不會導致公司第一大股東發生變化，寧德時代及四川時代無意謀求公司的控股權，除本次交易外寧德時代及四川時代未來36個月內無進一步增持公司股份的計劃，本次交易不會導致公司實際控制人變更。
