潤歌互動(02422.HK)擬10月17日掛牌上市 引入Fighton Asia為基石
格隆匯9月30日丨潤歌互動(02422.HK)發佈公吿，公司擬全球發售2.5億股股份，其中香港公開發售股份2500萬股，國際配售股份2.25億股，另有15%超額配股權；2022年9月30日至10月7日招股，預期定價日為10月7日；發售價將為每股發售股份0.64-0.80港元，每手買賣單位4000股，入場費約3232港元；民銀資本為獨家保薦人；預期股份將於2022年10月17日於聯交所主板掛牌上市。
集團為一家於中國運營的營銷服務提供商。自集團於2015年開始於中國運營傳統電信的營銷及推廣業務以來，集團致力於根據客户的企業需求，為其提供全面及量身定製的營銷服務。多年來，集團根據當前市場趨勢及發展，致力拓展集團提供營銷服務的能力。集團以傳統線下渠道為廣吿商提供營銷服務起步，並已藉由額外服務(如透過大型媒體平台運營商提供線上營銷服務、虛擬商品採購及交付服務、廣吿分發服務及廣吿投放服務)擴大了服務組合。集團通過內部增長及收購不斷升級集團的業務，藉此實現了業務的多元化，集團的客户羣及集團交付營銷服務的形式及渠道的多樣性亦因此相應增加。考慮到業務多元化、提升市場滲透率及可能開展的進一步業務合作的潛在協同效應，集團亦提供IT解決方案服務，而集團的董事相信該等服務長期而言有益於集團營銷及推廣服務的增長。
集團已於2022年9月29日與Fighton Asia Master Fund Limited訂立基石投資協議，據此，基石投資者已同意在若干條件的規限下按發售價認購可以合共1500萬港元配售的數目的發售股份。假設發售價定為每股股份0.72港元(即本招股章程所載指示性發售價範圍的中位數)，將分配予基石投資者的發售股份總數將為2083.2萬股發售股份。
假設發售價為每股發售股份0.72港元及假設超額配股權完全未獲行使，集團估計將收到全球發售所得款項淨額約1.193億港元。集團擬將全球發售所得款項淨額約42.2%用於支持集團的SDK開發及擴展集團的廣吿投放服務業務；26.7%用於透過集團的Rego虛擬商品平台採購及交付經擴大的虛擬商品組合；14.9%用於收購從事營銷及╱或相關運營的公司，並支持其後續運營；6.3%用於SaaS企業營銷服務平台的推進及擴張；及約9.9%用作集團的一般營運資金。
