叮噹健康(09886.HK)預計9月14日掛牌上市 引入陽光保險等基石
格隆匯9月1日丨叮噹健康(09886.HK)發佈公吿，公司全球發售3353.7萬股股份，其中香港發售股份335.4萬股，國際發售股份3018.3萬股，另有15%超額配股權；2022年9月1日至9月6日招股；發售價將為每股發售股份12.00港元，每手買賣單位500股，入場費約6060港元；中金公司及招銀國際為聯席保薦人；預期股份將於2022年9月14日於聯交所主板掛牌上市。
作為中國提供數字醫療健康到家服務的服務提供商，集團自2014年成立起一直通過開創線上至線下解決方式為主導的即時藥品零售及醫療諮詢(包括有關線上平台、線下智慧藥房及快藥服務的運營)，促使中國醫療行業轉變及升級。根據弗若斯特沙利文報吿，按2021年收入計，集團為在中國數字零售藥房行業處於領先地位的服務提供商，在該行業中排名第三，市場份額為1.0%，而按2021年收入計中國數字零售藥房行業排名第一和第二的服務提供商的市場份額分別為10.0%及6.5%。根據弗若斯特沙利文報吿，按2021年收入計，集團是中國即時到家數字藥房行業最大的產品及服務提供商，市場份額達6.8%。
集團已訂立基石投資協議，據此，在若干條件的規限下，基石投資者已同意按發售價認購總金額3800萬美元(或約2.98億港元)可購買的有關數目的發售股份。基石投資者按發售價12.00港元將予認購的發售股份總數為2484.65萬股，相當於全球發售發售股份的約74.09%及緊隨全球發售完成後(假設超額配股權未獲行使)集團已發行股本總額的約1.85%。 基石投資者包括陽光保險、Harvest及Jumpcan。
假設發售價為每股12.00港元，假設超額配股權未獲行使，集團估計將收取的全球發售所得款項淨額約為3.416億港元。集團擬將全球發售所得款項淨額約45.0%預期用於業務擴張，例如進一步開發智慧藥房網絡，以使集團的業務達到合規要求，以及向集團的業務提供技術支持，並提升用户增長及參與度；約15.0%用於優化集團的技術系統及運營平台；約10.0%用於提升集團的服務及業務，例如建立全職醫生及藥師的專業架構；約20.0%用於對集團經營的醫療產業價值鏈進行的潛在投資及收購或戰略合作。此外，集團計劃投資醫療行業其他擁有先進科技及服務的公司，以補充集團的業務；及所得款項淨額約10.0%用於營運資金及其他一般公司用途。
