協鑫新能源(00451.HK)擬先舊後新配售股份 總籌3.14億港元
格隆匯7月28日丨協鑫新能源(00451.HK)及協鑫科技(03800.HK)聯合公吿，2022年7月28日，賣方(傑泰環球有限公司，協鑫科技的全資附屬公司)、協鑫新能源及配售代理(即華泰國際、海通國際及建銀國際)訂立配售協議，據此配售代理與賣方協定擔任賣方代理，各自以個別(而非共同亦非共同及個別形式)盡力促使承配人按配售價每股0.138港元購買配售股份(即協鑫新能源根據配售協議將發行的最多合共22.75億股新協鑫新能源股份)。作為配售協議的先決條件之一，賣方及協鑫新能源將於配售協議完成前訂立認購協議，據此賣方同意根據認購協議所載的條款及條件按認購價(即與配售價相同)認購，而協鑫新能源有條件同意按此向賣方發行認購股份，數目等於配售股份數目。
配售代理將予配售的協鑫新能源股份總數為22.75億股協鑫新能源股份，相當於協鑫新能源於該聯合公吿日期已發行股本約10.80%；及經認購擴大後協鑫新能源已發行股本約9.74%。
假設所有配售股份將獲配售予承配人且所有認購股份將獲賣方認購，該等交易所得款項總額將約為3.14億港元，該等交易所得款項淨額將約為3.10億港元。協鑫新能源集團擬將該等交易所得款項淨額的90%用於支持與天然氣、液化天然氣及綜合能源項目管理業務相關的投資及研發成本，及開發其他能源領域的運維服務；以及該等交易所得款項淨額的10%用作協鑫新能源集團的一般營運資金。
