金侖控股有限公司(01783.HK)擬4146萬港元收購晉揚國際(香港)60%股權
格隆匯7月15日丨金侖控股有限公司(01783.HK)公吿，於2022年7月15日，公司與賣方Chun Yip International Investment Limited就收購事項訂立該協議。根據該協議，公司已有條件同意收購，而賣方已有條件同意出售銷售股份，相當於目標公司晉揚國際(香港)有限公司已發行股本的60%，代價為4146萬港元，將於完成後由公司以向賣方(或其代名人)發行本金總額4146萬港元承兑票據的方式繳付。
於收購事項完成後，目標公司將成為公司全資附屬公司。
目標公司從事回收業務。其主要回收已使用的金屬及建築材料，且該等回收材料可用於生產電線及其他原材料。因此，公司將能夠以較低成本採購建築材料，與公司的總承建商業務相輔相成。
集團主要在香港作為總承建商提供上層結構建築和修葺、維護、改建及加建("修葺、維護、改建及加建")工程服務。誠如本公司年報所披露，董事會擬轉型及探索新商機，且彼等相信環保及電動汽車相關業務於未來將可能成為香港的趨勢。同時，由於收購目標公司有利於(i)為公司電動汽車客户提供一站式服務，包括安裝電動汽車充電樁及回收電池；(ii)透過削減成本提高現有修葺、維護、改建及加建業務競爭力；及(iii)為較早前收購的基石能源有限公司的儲能研發提供穩定的電池來源。因此，公司認為收購事項符合本公司的擴張計劃。
董事會認為，於完成後，集團及其聯繫人能夠為電動汽車客户提供一站式服務，而收購事項將進一步提升盈利能力，且為股東充分提高回報。香港電動汽車行業正在增長，而香港電動汽車相關的建築工程機會正在增加，倘完成收購事項，集團可把握電動汽車行業令人振奮的增長前景。因此，採用電動汽車及電動汽車電池處置數量的上升趨勢將對集團整體有利。
