宏基資本(02288.HK)擬1.14億港元收購美國物業
格隆匯6月17日丨宏基資本(02288.HK)公佈,於2022年6月17日,香港賣方(公司的全資附屬公司)、香港買方(陳偉倫及其伍美珊共同擁有的公司)、美國買方(公司的全資附屬公司)、美國賣方(陳偉倫夫婦共同擁有的公司)、陳偉倫(作為擔保人)及伍美珊(作為擔保人)訂立主協議。
根據主協議,待達成簽署條件後,美國賣方及美國買方將訂立美國物業協議,據此,美國賣方將同意出售而美國買方將同意購買美國物業,代價為1450萬美元(相當於約1.14億港元)。於收購完成時,美國物業將由集團擁有100%權益。
根據主協議,待達成簽署條件後,香港賣方及香港買方將訂立香港物業公司協議,據此,香港賣方將有條件地同意出售待售股份及轉讓待售貸款,而香港買方將有條件地同意購買待售股份並接納待售貸款的轉讓,而不附帶任何產權負擔,總代價為1.58億港元(即香港物業的協定價值1.98億港元的80%),可根據香港物業公司協議的條款進行調整。
於出售完成時,香港物業公司將由香港賣方(因此不再為公司的附屬公司)及香港買方分別持有20%及80%權益,而(其中包括)香港賣方及香港買方各自有關建議合營企業的權利及義務將受股東契據規管。
根據主協議,美國物業協議及香港物業公司協議將於達成簽署條件後同時訂立,但收購完成將首先進行,而出售完成須待(其中包括)收購完成已落實後方可作實。倘收購完成已落實,但出售完成因任何原因未能於出售完成日期前落實,則將進行可能解除交易以解除建議收購事項。
據悉,美國物業位於1470 Virginia Rd, San Marino, CA 91108, US。美國物業(一棟兩層的西班牙式獨立定製房屋)為一棟建築面積約為7,877平方尺的住宅。美國物業目前空置,並無訂立任何租賃或租約。 香港物業包括香港壽臣山道東1號11號獨立屋(包括其房屋單位、外牆、通往地庫樓層的樓梯、通往主天台的樓梯、主天台及上層天台、花園及休憩空間、花槽及地庫樓層的11A及11B號車位)。
