格隆匯6月13日丨中梁控股(02772.HK)發佈公吿，有關於2022年5月到期的8.5%優先票據(國際證券號碼：XS2341214059；通用代碼：234121405)及於2022年7月到期的9.5%優先票據(股份代號：40439；國際證券號碼：XS2247412518；通用代碼：224741251)，交換要約已於2022年6月10日下午四時正(倫敦時間)屆滿。截至屆滿期限，分別有897.5萬美元(佔2022年5月票據的未償還本金總額2762.8萬美元約32.49%)及5859.2萬美元(佔2022年7月票據的未償還本金總額7116.6萬美元約82.33%)已根據交換要約有效提交作交換並獲接納。
經考慮與交換票據有關的公司於2022年5月18日完成交換要約的結果及本次交換要約的結果，於屆滿期限，合資格持有人已將分別2.71億美元(佔2022年5月票據的原始未償還本金額2.898億美元約93.56%)及4.269億美元(佔2022年7月票據的原始未償還本金額4.395億美元約97.14%)有效提交作交換。
完成交換要約後，公司將發行本金總額為2258.84萬美元的額外2023年4月新票據(將與本金總額為2.016億美元的原始2023年4月新票據合併及構成單一系列)(連同原始2023年4月新票據統稱為“2023年4月新票據”)及本金總額為4497.86萬美元的額外2023年12月新票據(將與本金總額為4.289億美元的原始2023年12月新票據合併及構成單一系列)(連同原始2023年12月新票據統稱為“2023年12月新票據”)。
