九龍建業(00034.HK)擬8.166億港元收購能傑發展的全部已發行股本
格隆匯5月20日丨九龍建業(00034.HK)公佈,於2022年5月20日,公司與保利達控股訂立協議,據此,保利達控股有條件同意出售而公司有條件同意購買出售股份(相當於目標公司能傑發展的全部已發行股本),代價為8.166億港元。在籤立協議前,目標公司與 Allround Holdings 及保利達控股於2022年5月19日訂立共同投資協議,據此,目標公司同意與 Allround Holdings 共同投資發展項目。
據悉,目標公司並無擁有其於共同投資協議項下之權利及權益以外之任何資產。目標公司已與AllroundHoldings就其對發展項目的投資及融資訂立共同投資協議。該土地包括位於中國廣東省珠海市香洲區九洲大道與迎賓南路交叉口西北側之地塊,總地盤面積為38,416.01平方米,合共總樓面面積為198,775.90平方米。該土地擬分兩期發展,可售總面積約19.44萬平方米,其中第一期將由辦公大樓、商業裙樓、地庫及鄰里中心組成,而第二期將由辦公大樓及商業裙樓組成。擁有人需興建一座二級鄰里中心及128個公共停車位,建成後將無償移交當地政府。
公吿稱,訂立協議及共同投資協議將使集團能夠參與投資位於中國珠海市之一個物業發展項目,待發展項目第一期取得所有未決批准後即可供發展,並由經驗豐富的物業發展商保利達控股進行管理,以進一步加強其於中國大陸之地產業務。收購事項將使本公司擴大其發展土地儲備並進一步加強其基礎。公司認為收購事項為一個良好投資機會,並預計將為公司帶來滿意回報,理由如下:(1) 該土地擬分兩期發展,主要由辦公大樓及商業裙樓組成。發展項目第一期之地盤平整工程經已展開,並已取得發展項目第一期之規劃批文。預計將於2024年開始預售。(2) 該土地位於中國澳門特別行政區與中國珠海市交界距拱北口岸約 3 公里之黃金地段,並鄰近珠海市主要街道交匯處。根據共同投資協議,最終帳目一經落實並經計及分佔溢利或虧損後,Allround Holdings將向目標公司償還其注資資金(以投資款項之方式)及該土地成本之投資(以代價之方式)。於發展項目期間,Allround Holdings 將於目標公司及 Allround Holdings 雙方同意的情況下,於現金流預測出現結餘時償還投資款項。此為集團提供更佳現金流及為其投資提供更多保障。
