上汽集團(600104.SH)：以16.07億元成功競拍東正金融71.04%的股份
格隆匯5月19日丨上汽集團(600104.SH)公佈，2022年4月16日，上海金融法院於京東網司法拍賣網絡平台發佈了《上海金融法院關於上海東正汽車金融股份有限公司15.2億股股份(第一次拍賣)的公吿》，拍賣標的為被執行人中國正通汽車服務控股有限公司(“正通汽車”)持有的上海東正汽車金融股份有限公司(“東正金融”)15.2億股股份(佔比71.04%)。起拍價：1,606,812,970元；保證金：16000萬元；增價幅度：500萬元及其倍數。拍賣時間為2022年5月18日10時至2022年5月19日10時止(延時除外)。
根據拍賣公吿特別提示，“上海東正汽車金融股份有限公司是香港上市公司，本次拍賣的股份比例超過30%，競買人應自行關注香港法規關於強制要約收購的規定和要求”。按香港《公司收購、合併及股份回購守則》規定，由於競買人在收購後取得東正金融30%或以上投票權，競買人應至少按競拍的股權收購價格的同等基礎向東正金融所有股份類別的股東(正通汽車除外)作出要約。
經審慎評估，公司第八屆董事會第九次會議審議通過了《關於公司參與上海東正汽車金融股份有限公司71.04%股權司法拍賣的議案》，公司參與了本次上海東正汽車金融股份有限公司71.04%股權的司法拍賣。
2022年5月19日，公司以1,606,812,970元的價格，成功競拍上海東正汽車金融股份有限公司71.04%的股份。
上汽集團競拍收購東正金融相關股份，有利於雙方在業務層面產生協同效應，作為國內產銷規模最大的汽車集團，上汽集團可以為東正金融提供廣泛的客户資源，助力其在汽車金融市場中取得更好的發展。同時，東正金融作為國內25家經授權的汽車金融公司之一，收購東正金融亦有助於上汽集團汽車金融業務的發展，有利於為全體股東創造價值。
