新灃集團(01223.HK)擬出售“PONY”業務
格隆匯5月10日丨新灃集團(01223.HK)發佈公告，2022年5月6日，公司訂立該等協議，據此，公司同意向買方(即Iconix International, Inc.的全資附屬公司)出售相關業務I；及向Sym-Icon出售相關業務II。根據該等協議的條款，出售事項的總代價2800萬美元(約2.184億港元)將由買方支付。
根據協議I，公司同意出售而買方同意購買相關業務I的合法和實益所有權和產權，包括關於“PONY”品牌於相關司法權區的資產(其中包括合約利益、商譽、權利、賬冊及記錄內的所有權和權益、用於或持有用於資產的商業資訊、知識產權、應收賬款、集團控制的社交媒體賬戶，以及集團與相關業務I有關的所有其他財產及資產的全部所有權和權益及所有權利(包括針對第三方)，於完成交易時不帶任何產權負擔。
根據協議II，公司同意出售而Sym-Icon同意購買相關業務II的合法和實益所有權和產權。Sym-Icon將擁有相關業務II，包括關於“PONY”品牌於亞太地區的資產(其中包括合約利益、商譽、權利、賬冊及記錄內的所有權和權益、用於或持有用於資產的商業資訊、知識產權、應收賬款、本集團控制的社交媒體賬戶，以及集團的所有其他財產及資產的全部所有權和權益及所有權利(包括針對第三方)，於完成交易時不帶任何產權負擔。Sym-Icon將由合營公司全部擁有，而合營公司將由公司及買方分別擁有50%及50%。
同日，公司、買方及合營公司就成立合營公司訂立股東協議，以經營相關業務II，以及規範其各自作爲合營公司股東的權利與義務。根據股東協議，合營公司將由公司及買方分別擁有50%及50%，而合營公司將從事投資控股，並將爲Sym-Icon的唯一股東，而Sym-Icon將在亞太地區從事持有及經營“PONY”品牌。
