雅士利國際(01230.HK)：達能已出售蒙牛所有權益 蒙牛擬按私有化價格向達能Nutrition收購25%雅士利股份
格隆匯5月6日丨蒙牛乳業(02319.HK)、雅士利國際(01230.HK)聯合公吿，於2021年5月13日，達能宣佈，截至2021年5月，達能已出售其於蒙牛已發行股本中的所有權益。於達能蒙牛出售案之後，蒙牛與達能同意將解除蒙牛達能現有關係，而以下擬定交易應按本公吿中訂明的方式進行：(a)低温業務合營公司收購案。2022年5月6日，內蒙古蒙牛與達能上海等訂立低温業務買賣協議，據此，達能上海同意出售而內蒙古蒙牛同意購買低温業務銷售股份；(b)多美滋中國出售案。2022年5月6日，雅士利廣東與達能APAC訂立多美滋中國買賣協議，據此，雅士利廣東同意出售而達能APAC同意購買多美滋中國的100%股權；及(c)25%雅士利收購案。2022年5月6日，蒙牛與達能Nutrition訂立25%雅士利收購案買賣協議，據此，達能Nutrition同意出售而蒙牛同意購買（或透過其關聯方促使購買）雅士利銷售股份，每股雅士利股份價格為1.20港元。
儘管25%雅士利收購案並不會觸發蒙牛根據收購守則的強制要約義務，蒙牛將透過要約人發起私有化提案，併為計劃股東提供機會，讓其能夠按與25%雅士利收購案項下提供予達能Nutrition的相同價格，變現其於雅士利的投資。
因此，蒙牛、要約人和雅士利進一步聯合宣佈，於2022年5月3日，要約人（蒙牛的全資附屬公司）已正式要求雅士利董事會，在達成以下計劃先決條件的前提下，向計劃股東提出根據公司法第86條以協議安排方式將雅士利私有化的方案。
於計劃條件達成及計劃生效後，所有計劃股份將予註銷，而計劃股東將有權就每股計劃股份收取註銷價1.20港元，較2022年5月6日即雅士利最後交易日於聯交所所報每股雅士利股份收市價0.920港元溢價約30.4%。
私有化提案的提出以及私有化提案和計劃的實施將於以下先決條件達成後方可作實：(a)雅士利獨立股東已於雅士利首次特別股東大會上批准擬定交易；(b)25%雅士利收購案已按照其條款完成；及(c)已就擬定交易作為收購守則項下的特別交易取得執行人員的同意。
