北控城市資源(03718.HK)獲北控水務集團(00371.HK)提收購要約 明日復牌
格隆匯4月28日丨北控城市資源(03718.HK)、北控水務集團(00371.HK)聯合公吿，於2022年3月30日至2022年4月25日期間，要約人北控水務集團收購合共1.15億股北控城市資源股份，及於2022年4月25日，要約人收購額外4545萬股北控城市資源股份。所有該等收購事項均在公開市場進行。
要約人就於2022年3月30日至2022年4月25日期間收購的1.15億股北控城市資源股份所支付的總代價為8436萬港元。於2022年4月25日的收購事項後，要約人於北控城市資源的股權佔於本聯合公吿日期北控城市資源已發行股本的比例由約29.97%增至31.23%。
於2022年4月25日的收購事項後，要約人及與其一致行動的人士於北控城市資源的股權佔於本聯合公吿日期北控城市資源已發行股本的比例由約37.38%增至38.64%。根據收購守則規則26.1，要約人須就所有已發行北控城市資源股份作出強制性有條件現金要約。每股要約股份現金0.78港元，相等於最後交易日收市價每股北控城市資源股份0.78港元。
北控水務集團的管理層認為，倘北控城市資源成為北控水務集團的附屬公司，將會產生協同效應，從而有助於北控城市資源及北控水務集團的整體形象及業務。北控水務集團亦將能夠更好地將北控城市資源用作北控水務集團於環境保護行業的業務（專注於生活及工業廢物治理）的整體戰略發展平台，從而鞏固北控水務集團於業內的市場領導地位。此外，倘北控城市資源的財務業績於北控水務集團的綜合財務報表綜合入賬，北控水務集團的財務狀況將會改善。
於要約截止後，要約人擬讓北控城市資源集團繼續從事現有主要業務。於要約截止後，要約人不擬對北控城市資源集團現有業務及營運引入任何主要變動。於本聯合公吿日期，要約人無意終止僱用北控城市資源集團的僱員，或出售或重新分配北控城市資源集團的重大資產。要約人將繼續確保北控城市資源集團具備良好的企業管治，不時監控及審查北控城市資源集團的業務及營運，並可能採取其認為必要或適當的措施提升北控城市資源集團的價值。
此外，北控城市資源已向聯交所申請自2022年4月29日上午九時正起於聯交所恢復北控城市資源股份買賣。
