HYPEBEAST(00150.HK)與Iron Spark及Hypebeast WAGMI訂立合併協議
格隆匯4月4日丨HYPEBEAST(00150.HK)發佈公告，2022年4月3日，公司、Iron Spark；及合併子公司(Hypebeast WAGMI Inc.，公司一家全資附屬公司)訂立合併協議，據此，合併子公司將與Iron Spark合併並歸入Iron Spark，其中Iron Spark爲合併事項的存續實體，Iron Spark將成爲公司一家全資附屬公司；及合併事項完成前已發行及發行在外各Iron Spark股份將於合併事項完成時註銷及自動轉換至無利息收取1股合併股份的權利。
合併事項完成後將予發行的代價股份估計最高數目爲2218.33萬股，數額爲最高代價2.218億美元(相當於約17.3億港元)，惟須待按任何合資格Iron Spark公衆股東贖回Iron Spark股份的水平予以調整。
合併事項完成後，除繼續爲聯交所上市公司外，公司將因而成爲美國上市公司，併合資格成爲外國私人發行人，其合併股份於納斯達克交易所上市買賣。除將獲發行予Iron Spark公衆股東、保薦人及擁有Iron Spark股份的Iron Spark董事的代價股份外，公司亦將就由馬柏榮、李苑彤及CORE Capital(即公司控股股東)所持有的合併股份另行提交登記聲明，以讓彼等於有關登記聲明獲美國證交會宣告生效後於納斯達克交易所自由買賣彼等所持有的合併股份。現時持有公司於香港公開買賣的股份的其他股東，將可依照美國證券法相關豁免(惟受任何禁售限制所限)於納斯達克交易所買賣彼等的合併股份。因此，合併事項完成後，全部合併股份將於納斯達克交易所上市買賣。
簽訂合併協議的同時，PIPE投資者與公司訂立PIPE股份認購協議，據此，PIPE投資者有條件同意認購及公司有條件同意大致與合併事項完成同時(及受合併事項約束)以認購價格(即相同於代價股份發行價格的發行價)發行認購股份，總認購價爲1333.5萬美元(相當於約1.04億港元)。
