當代置業(01107.HK)延遲刊發2021年年度業績 4月1日起停牌
格隆匯3月29日丨當代置業(01107.HK)公吿稱，由於集團出現的流動性問題以致人員變動，以及3月最新一波新冠肺炎疫情爆發導致集團總部北京市及其他多家子公司所在城市實施嚴厲限制措施，集團財務報表擬備工作以及審計師審核工作的進度均受到較大影響。根據公司目前已獲取的資料，集團截至2021年12月31日止年度的財務報表擬備工作尚未完成。因此，公司將未能於2022年3月31日或之前刊發2021年年度業績及將可能未能於2022年4月30日或之前寄發2021年年報予股東。
上述延遲刊發2021年年度業績及可能延遲寄發2021年年報予股東將構成公司不遵守上市規則第13.49(1)條及第13.46(2)(a)條。儘管如此，董事會強調，集團的營運維持正常，其將繼續與審計師緊密合作，以刊發2021年年度業績及向股東寄發2021年年報。公司預期在實際可行情況下儘快刊發╱寄發2021年年度業績及2021年年報，並於適當時候刊發進一步公吿。
上市規則第13.49(3)條規定，如發行人無法根據上市規則第13.49(1)及(2)條以與審計師確定的財務報表為基礎發佈初步業績，發行人必須根據尚未與審計師確定的財務結果，於可能情況下，該等業績必須已由發行人的審核委員會審查。如上文所述，由於公司尚未完成擬備集團截至2021年12月31日止年度的財務報表，公司現階段無法刊發公司截至2021年12月31日止年度的未經審核管理賬目。
由於上述2021年年度業績延遲刊發，故董事會會議將會延期。公司將適時刊發進一步公吿，向股東知會最新情況(如有)以及為批准刊發2021年年度業績而舉行的董事會會議日期。此外，公司股份將於2022年4月1日上午9時正起停牌。
